REAL ESTATE AGREEMENT


This Real Estate Agreement ("Agreement") is made and entered into as of January 1, 2050, by and between [Your Company Name], a corporation duly organized and existing under the laws of the state of Colorado, with a principal place of business at [Your Company Address] ("Seller"), and ZenExa, a corporation duly organized and existing under the laws of the state of Colorado, with a principal place of business at Denver, CO 80202 ("Buyer"). The Seller and Buyer shall collectively be referred to as the "Parties."


I. PROPERTY DESCRIPTION

The Seller agrees to sell, and the Buyer agrees to purchase, the following real estate property located at 1234 Oak Street, Denver, CO 80202 ("Property"). The Property is more fully described as:

  • Parcel Number: 123-456-789

  • Legal Description: Lot 15, Block A, Oak Street Subdivision, City of Denver, County of Denver, State of Colorado


II. PURCHASE PRICE AND PAYMENT TERMS

The total purchase price for the Property shall be $1,500,000 ("Purchase Price"). The Buyer shall pay the Purchase Price to the Seller in accordance with the following terms:

  1. Down Payment: Buyer shall pay a down payment of $300,000 on or before February 1, 2050.

  2. Balance Payment: The balance of the Purchase Price, amounting to $1,200,000, shall be paid in full on the Closing Date.

  3. Method of Payment: All payments made under this Agreement shall be paid by wire transfer to the Seller's designated account, as provided by the Seller in writing.

  4. Closing Costs: Both Parties shall be responsible for their respective closing costs. However, the Buyer shall bear the cost of any applicable transfer taxes or fees.


III. CLOSING PROCEDURE

The closing of the sale of the Property ("Closing") shall take place at a mutually agreeable location on or before March 15, 2050. At the Closing:

  1. The Seller shall deliver to the Buyer a deed transferring title to the Property, free and clear of all liens, encumbrances, and claims, except for those encumbrances specifically agreed to by the Parties.

  2. The Buyer shall pay the balance of the Purchase Price as specified in Section II.

  3. The Buyer shall assume responsibility for any real estate taxes, utilities, and other assessments associated with the Property from the Closing Date forward.


IV. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other Party that:

  1. Seller's Representations:
    a. The Seller is the sole owner of the Property and has full authority to sell and transfer the Property to the Buyer.


    b. The Property is free from any encumbrances, except as disclosed to the Buyer in writing.


    c. There are no pending legal actions, claims, or disputes regarding the Property.

  2. Buyer's Representations:
    a. The Buyer has full authority to enter into this Agreement and consummate the transactions contemplated hereunder.


    b. The Buyer has the financial capacity to pay the Purchase Price and any related expenses associated with the sale of the Property.


V. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado. Both Parties agree to submit to the exclusive jurisdiction of the courts located in Colorado for the resolution of any disputes arising from or related to this Agreement.


VI. TERMINATION

This Agreement may be terminated by either Party under the following conditions:

  1. Mutual Agreement: The Parties may mutually agree in writing to terminate this Agreement at any time prior to the Closing Date.

  2. Breach: Either Party may terminate this Agreement in the event of a material breach by the other Party, provided that the breaching Party has been given written notice and a reasonable opportunity to cure the breach.


VII. NOTICES

All notices, requests, and communications under this Agreement shall be in writing and shall be deemed given when delivered by hand, sent by certified mail (return receipt requested), or by email, to the following addresses:

The Parties may change their contact information by providing written notice to the other Party.


VIII. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter hereof. Any amendment or modification of this Agreement must be made in writing and executed by both Parties.
