Food Supply Agreement
This Food Supply Agreement (hereinafter referred to as the "Agreement") is made and entered into by and between the following parties:
Parties
Supplier: [Your Company Name], with a principal place of business at [Your Company Address].
Purchaser: DevoWorld, with a principal place of business at Des Moines, IA 50301.
Effective Date
This Agreement shall commence on [Start Date] (hereinafter referred to as the "Effective Date") and shall continue in effect until terminated as provided herein.
Purpose
The purpose of this Agreement is to establish the terms and conditions under which the Supplier shall supply food products to the Purchaser. The products and specifications are detailed in Appendix A attached hereto.
Obligations of the Supplier
Quality and Compliance
The Supplier agrees to supply food products that meet the quality standards as outlined in Appendix A. All products shall comply with applicable food safety regulations and industry standards.
Delivery
The Supplier is responsible for the timely delivery of food products to the Purchaser's designated location as specified in the Purchase Order. Delivery schedules and logistics are to be mutually agreed upon by both parties.
Pricing
Prices for the food products shall be as set forth in Appendix B. Any changes to the pricing shall be communicated in writing and agreed upon by both parties.
Obligations of the Purchaser
Orders and Acceptance
The Purchaser shall issue Purchase Orders to the Supplier specifying the quantities and specifications of the food products requested. The Supplier shall accept the Purchase Orders in accordance with the terms of this Agreement.
Payment
The Purchaser agrees to pay the Supplier the agreed upon prices for the food products within [Payment Terms] days from receipt of a proper invoice from the Supplier.
Term and Termination
This Agreement shall remain in force for a period of [Time Period] from the Effective Date unless terminated earlier by either party with [Notice Period] written notice. Upon termination, both parties shall fulfill any outstanding obligations.
