Spare Parts Supply Agreement
This Spare Parts Supply Agreement (the "Agreement") is entered into as of this [Insert Date] by and between [Your Company Name], a corporation organized under the laws of [State/Country], having its principal place of business at [Your Company Address] (hereinafter referred to as the "Supplier"), and MindStove, a corporation organized under the laws of [State/Country], having its principal place of business at Jacksonville, FL 32099 (hereinafter referred to as the "Purchaser").
Recitals
WHEREAS, the Supplier is engaged in the business of manufacturing and supplying spare parts for [industry/product];
WHEREAS, the Purchaser desires to purchase certain spare parts from the Supplier under the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties hereby agree as follows:
1. Definitions
1.1 "Spare Parts" means the components and parts listed in Exhibit A, which is attached hereto and incorporated herein by reference.
1.2 "Order" means a purchase order issued by the Purchaser for the Spare Parts.
1.3 "Delivery Date" means the date specified in the Order by which the Supplier is required to deliver the Spare Parts.
2. Supply of Spare Parts
2.1 Supply Commitment. The Supplier agrees to supply and deliver the Spare Parts to the Purchaser in accordance with the terms of this Agreement and any Order placed hereunder.
2.2 Orders. The Purchaser shall issue Orders specifying the type and quantity of Spare Parts required, the Delivery Date, and the delivery location.
3. Pricing and Payment
3.1 Price. The price for the Spare Parts shall be as set forth in Exhibit B, attached hereto and made a part hereof. Prices shall be firm and not subject to increase during the term of this Agreement, except as otherwise agreed by the parties in writing.
3.2 Payment Terms. Payment for Spare Parts shall be made by the Purchaser within [number] days from the date of invoice, unless otherwise agreed to in writing by the parties.
4. Delivery
4.1 Delivery Obligation. The Supplier shall deliver the Spare Parts to the specified location on the Delivery Date as set forth in the Order.
4.2 Risk of Loss. Risk of loss or damage to the Spare Parts shall pass to the Purchaser upon delivery.
5. Warranties
5.1 Supplier Warranty. The Supplier warrants that the Spare Parts supplied under this Agreement shall be free from defects in materials and workmanship and shall conform to the specifications set forth in Exhibit C.
6. Term and Termination
6.1 Term. This Agreement shall commence on the effective date and shall continue in effect for a period of [term length], unless earlier terminated as provided herein.
6.2 Termination. Either party may terminate this Agreement upon [number] days written notice if the other party materially breaches any of its obligations under this Agreement and fails to cure such breach within the notice period.
