Supply Chain Finance Agreement
1. Introduction
This Supply Chain Finance Agreement ("Agreement") is entered into by and between [Your Company Name], a company incorporated under the laws of [Country], with its registered office at [Your Company Address] (hereinafter referred to as the "Supplier"), and BeansBee, a financial institution duly organized and existing under the laws of [Country], with its principal place of business at Nashville, TN 37201 (hereinafter referred to as the "Financier"). 2. Purpose
The purpose of this Agreement is to establish the terms and conditions under which the Financier shall provide supply chain financing to the Supplier in order to facilitate the Supplier's working capital requirements and enhance operational efficiency.
3. Definitions
3.1 "Supply Chain Finance"
Supply Chain Finance includes all financial arrangements between the Financier and Supplier to optimize and manage the Supplier's cash flow and working capital.
3.2 "Invoices"
"Invoices" refers to the financial documents issued by the Supplier to its buyers, which represent payment obligations under this Agreement.
3.3 "Credit Limit"
"Credit Limit" refers to the maximum amount of credit that the Financier is willing to extend to the Supplier within the scope of this Agreement.
4. Terms and Conditions
4.1 Financing Facility
The Financier agrees to provide a revolving line of credit to the Supplier, subject to the Credit Limit, which will be used to finance the Supplier's accounts receivable.
4.2 Interest and Fees
Interest rates and additional fees applicable to the financing provided under this Agreement shall be as specified in Appendix A.
4.3 Repayment

5. Representations and Warranties
Each party represents and warrants that it has the right and authority to enter into this Agreement and perform its obligations hereunder.

7. Termination
