This Academic Collaboration Agreement (“Agreement”) is entered into as of [January 1, 2050], by and between:

1. Purpose

2. Scope of Collaboration
2.1. Areas of Cooperation

3. Funding
3.1. Financial Commitment
InnovateAI agrees to provide a total of [$1,500,000] to support the project. These funds will be allocated as follows:

Additional grants or funding opportunities may also be sought from governmental, academic, or private sectors to support ongoing research or new lines of inquiry.
3.3. Funding Withdrawal or Modification
If either party wishes to withdraw or modify their financial commitment to the project due to unforeseen circumstances, they must notify the other party at least [90] days in advance. Both parties will then engage in discussions to reach a mutually agreed solution, which may include scaling down the project or seeking alternative funding sources.
4. Intellectual Property
4.1. Ownership

Any intellectual property (IP) developed during the course of the collaboration, including but not limited to patents, copyrights, algorithms, and software, will be jointly owned by [Your Company Name] and [Partner Company Name].

5.2. Duration
Confidentiality obligations will remain in effect for a period of [five (5)] years after the termination of this Agreement. The protection of confidential information will continue beyond the expiration or termination of this Agreement for as long as such information remains confidential or proprietary.
6. Term and Termination
6.1. Term
This Agreement will commence on [January 1, 2050] and remain in effect for [three (3)] years, unless terminated earlier by mutual agreement or breach of terms. The Agreement may be extended by mutual written consent if both parties wish to continue the collaboration.
6.2. Termination
Either party may terminate this Agreement with [90] days’ written notice, provided that any ongoing activities are appropriately wound down or transitioned. In the event of early termination, both parties will cooperate to minimize disruption to research and ensure the smooth transition of any ongoing work. Should the Agreement be terminated due to breach, the breaching party shall be liable for any resulting damages.
7. Dispute Resolution
In the event of a dispute arising out of or in connection with this Agreement, the parties agree to attempt to resolve the dispute through informal negotiation. If the dispute cannot be resolved within [30] days, the parties agree to resolve it through binding arbitration under the rules of the American Arbitration Association. The arbitration will take place in [State], and the decision rendered by the arbitrator will be final and binding on both parties.
8. Governing Law
