Professional Freelancer Agreement
This Professional Freelancer Agreement (the "Agreement") is made and entered into this 9th day of December 2050, by and between [Your Company Name], a company duly organized and existing under the laws of the State of California, with its principal office located at [Your Company Address] (hereinafter referred to as the "Company"), and Talia Jacobs, representing Blitzcraft, with its principal office located at Glendale, CA 91201 (hereinafter referred to as the "Client").
This Agreement sets forth the terms and conditions under which the Freelancer agrees to provide services to the Client in accordance with the terms outlined herein.
I. Scope of Work
Description of Services
The Freelancer shall provide the following services (the "Services") to the Client:

Creation of social media marketing strategies to enhance the Client's online presence.

Design and development of branded graphics and templates for use on platforms such as Instagram, Facebook, and LinkedIn.

Content writing and editing for social media posts, promotional campaigns, and website updates.

Monthly performance reporting to track the success of campaigns and provide insights.
Deliverables
The Freelancer shall provide the following deliverables:

Ten (10) branded social media posts per month, including graphics and captions.

One (1) detailed monthly report, analyzing campaign performance, engagement metrics, and recommendations for improvement.

Custom templates for social media stories and posts, tailored to the Client's brand identity.
II. Compensation and Payment Terms
Compensation
The Client agrees to pay the Freelancer the total amount of $8,000 for the Services described in this Agreement. This payment shall be made in accordance with the following schedule:

Initial Payment: A deposit of $2,000 shall be paid upon execution of this Agreement.

Final Payment: The remaining balance of $6,000 shall be paid upon completion of the Services and approval of the final deliverables by the Client.
Payment Method
Payments shall be made by the Client to the Freelancer via one of the following methods:

Direct Bank Transfer: Bank account details will be provided upon request.

PayPal Transfer: Payments may also be made via the Freelancer's registered PayPal account.
Late Payments
Any payment not received within 10 days of the due date shall incur a late fee of 5% of the outstanding amount. If payment is delayed for more than 30 days, the Freelancer reserves the right to suspend all work until payment is received.
III. Term and Termination
Term
This Agreement shall commence on December 9, 2050, and shall remain in effect until the Services are completed and all payments are made unless terminated earlier as provided herein.
Termination by Either Party
Either party may terminate this Agreement with 10 days’ written notice to the other party. Upon termination, the Freelancer shall be compensated for all work completed up to the date of termination.
Termination for Breach
If either party breaches any material term of this Agreement, the non-breaching party may terminate the Agreement immediately by providing written notice to the breaching party.
IV. Confidentiality
Confidential Information
Both parties agree to keep all confidential information shared during the course of this Agreement strictly confidential. Confidential information includes, but is not limited to, business plans, financial details, project-related documents, and proprietary information.
Exceptions
The obligation of confidentiality shall not apply to information that:

Is publicly available at the time of disclosure.

Was independently developed by the receiving party.

Is required to be disclosed by law or governmental authority.
V. Ownership of Work
Transfer of Rights
Upon receipt of full payment, all rights to the deliverables created by the Freelancer under this Agreement shall transfer to the Client. The Freelancer retains the right to use the deliverables for portfolio purposes unless otherwise agreed.
VI. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
VII. Dispute Resolution
Negotiation and Mediation
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiations fail, the parties agree to engage in mediation conducted in the State of California.
Legal Action
If mediation fails to resolve the dispute, either party may pursue legal remedies in a court of competent jurisdiction in the State of California.
VIII. Miscellaneous
Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements, representations, or understandings, whether written or oral.
Amendments
This Agreement may only be amended in writing, signed by both parties.
Waiver
No waiver of any provision or right under this Agreement shall be effective unless in writing and signed by the waiving party.
Severability
If any provision of this Agreement is found to be invalid, the remainder of the Agreement shall remain enforceable.
