This Preferential Trade Agreement ("Agreement") is made and entered into on this 15th of January, 2067, by and between Republic of Novaria, represented by Minister of Trade, Dr. Ella Marcus, and Federation of Lumoria, represented by Secretart of Commerce, Mr. Hugo Fernandez (collectively referred to as the "Parties").

I. PURPOSE AND OBJECTIVES

The purpose of this Agreement is to promote and facilitate trade between the Parties by:

  2. "Originating Goods" refers to goods that meet the rules of origin set out in this Agreement.

  3. "Non-Tariff Barriers" include quotas, licenses, and technical barriers to trade.

  4. "Dispute Settlement Mechanism" means the framework established under this Agreement for resolving trade-related disputes between the Parties.

III. SCOPE OF THE AGREEMENT

This Agreement applies to:

  1. Trade in goods and services between the Parties.

  2. Investment facilitation and protection measures.

  3. Intellectual property rights (IPR) cooperation.

  4. Labor standards and environmental protection.

IV. TRADE IN GOODS

  1. Tariff Reductions: The Parties agree to: a. Gradually reduce tariffs on goods listed in Annex A. b. Eliminate tariffs on certain goods by 2070.

  2. Rules of Origin: Goods will qualify for preferential treatment if they meet the criteria outlined in Annex B.

  3. Technical Standards: The Parties will align technical and safety standards to avoid unnecessary barriers to trade.

V. TRADE IN SERVICES

  1. Market Access: The Parties shall grant access to service providers in sectors listed in Annex C.

  2. National Treatment: Each Party will treat the other Party's service providers no less favorably than its own providers.

  3. Mutual Recognition: The Parties agree to mutually recognize professional qualifications and licenses where feasible.

VI. INVESTMENT

  1. Protection of Investments: The Parties shall ensure fair and equitable treatment of investments.

  2. Dispute Resolution: Investment disputes will be resolved through the mechanism detailed in Annex D.

  3. Facilitation Measures: Each Party commits to reducing administrative barriers for investors.

VII. INTELLECTUAL PROPERTY RIGHTS

  1. Cooperation: The Parties will cooperate on the protection and enforcement of intellectual property rights.

  2. Standards: Each Party agrees to adopt or maintain standards consistent with Trips Agreement.

VIII. LABOR AND ENVIRONMENTAL STANDARDS

  1. Labor Standards: The Parties reaffirm their commitment to uphold internationally recognized labor rights.

  2. Environmental Protection: The Parties will collaborate on sustainable practices and technologies.

IX. DISPUTE SETTLEMENT MECHANISM

  1. Consultations: The Parties will first seek to resolve disputes through consultations.

  2. Arbitration Panel: If consultations fail, disputes will be referred to an arbitration panel as described in Annex E.

  3. Binding Decision: The arbitration panel’s decisions will be binding on both Parties.

X. GENERAL PROVISIONS

  1. Amendments: This Agreement may be amended by mutual consent of the Parties.

  2. Duration: This Agreement shall remain in force for a period of 20 Years, and may be renewed by mutual agreement.

  3. Withdrawal: Either Party may withdraw from this Agreement with 12 Months months' written notice.

XI. FINAL PROVISIONS

  1. Entry into Force: This Agreement will enter into force on March 1, 2067, subject to ratification by both Parties.

  2. Languages: This Agreement is executed in 2 languages, all texts being equally authentic.
