Technology Trade Agreement
1. Parties Involved
This Technology Trade Agreement ("Agreement") is entered into by and between [YOUR COMPANY NAME], with its principal place of business at [YOUR COMPANY ADDRESS], and BrassFox, with its principal place of business at Peoria, AZ 85345. Hereinafter, these entities may be collectively referred to as "Parties" or individually as a "Party".
2. Purpose
The Purpose of this Agreement is to establish the terms and conditions under which the Parties agree to trade technologies, software, and related services ("Technology") in a mutually beneficial arrangement that aligns with the applicable laws and regulations.
3. Definitions
3.1 Technology
"Technology" refers to software, digital applications, platforms, and associated support services that are intended for trade between the Parties within the scope of this Agreement.
3.2 Confidential Information
"Confidential Information" refers to proprietary information, technical data, trade secrets or know-how, including but not limited to research, product plans, products, services, customers, markets, software, developments, inventions, processes, designs, drawings, marketing, and finances.
4. Obligations of the Parties
4.1 Party A Obligations
Party A agrees to provide Party B with the specified Technology under the terms and conditions outlined in this Agreement, ensuring the delivery meets the agreed specifications and timelines.
4.2 Party B Obligations
Party B agrees to provide adequate compensation for the Technology as well as ensure compliance with all regulatory requirements pertaining to the utilization and distribution of the Technology.
5. Intellectual Property Rights
Each Party retains ownership of all intellectual property it owned prior to this Agreement. Any Technology developed jointly under this Agreement will be subject to mutual agreements on ownership and use rights.
6. Confidentiality
Both Parties agree to maintain the confidentiality of all Confidential Information exchanged between the Parties and shall not disclose such information to third parties without prior written consent of the disclosing Party.
7. Term and Termination
7.1 Term
This Agreement shall commence on the Effective Date and shall continue in effect for a period of 3 years, unless terminated earlier in accordance with this Agreement.
7.2 Termination
Either Party may terminate this Agreement by providing 30 days written notice to the other Party if the other Party breaches any material obligation under this Agreement and such breach remains uncured for 15 days after receiving written notice from the non-breaching Party.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of laws principles.
9. Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiation between the Parties. If the dispute cannot be resolved within 15 days, the Parties agree to submit the dispute to binding arbitration under the rules of American Arbitration Association.
