Staffing Agreement
I. Parties Involved
This Staffing Agreement is entered into on January 1, 2050, by and between [Your Company Name], located at [Your Company Address] (hereinafter referred to as "Company"), and BlueLeaf, located at Jersey City, NJ 07302 (hereinafter referred to as "Staffing Agency").
II. Services Provided
A. Description of Services
The Staffing Agency agrees to provide the Company with qualified candidates for the positions specified by the Company. The Staffing Agency will conduct necessary recruitment processes, including but not limited to, advertising vacancies, screening candidates, and conducting initial interviews.
B. Performance Standards
The Staffing Agency agrees to perform its duties with the highest standards of professionalism and to comply with all applicable laws and regulations.
III. Term and Termination
A. Agreement Term
This Agreement shall commence on January 1, 2050, and shall continue until December 31, 2050, unless terminated earlier in accordance with this Agreement.
B. Termination for Cause
Either party may terminate this Agreement with immediate effect if the other party breaches any material term of this Agreement and fails to remedy the breach within thirty (30) days of receiving written notice.
IV. Payment Terms
A. Service Fees
The Company agrees to pay the Staffing Agency a service fee of $5,000 for each successful placement. The fee is payable within thirty (30) days of the candidate's start date.
B. Invoices
Invoices shall be submitted by the Staffing Agency to the Company and are payable within thirty (30) days of receipt.
V. Confidentiality
A. Confidential Information
Both parties agree to maintain the confidentiality of all information disclosed during the term of this Agreement, including but not limited to, business plans, customer lists, and financial information.
VI. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey.
VII. Indemnification
The Staffing Agency agrees to indemnify and hold the Company harmless from any claims, losses, or damages arising from the Staffing Agency's breach of this Agreement or any negligent or wrongful acts of its employees or agents.
VIII. Miscellaneous
A. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.
B. Amendments
Any amendments to this Agreement must be in writing and signed by both parties.
