Recruitment Retainer Agreement
This Recruitment Retainer Agreement (the "Agreement") is entered into as of January 1, 2050, by and between [Your Company Name], with its principal office located at [Your Company Address], and BrandKat, located at Austin, TX 73301. The Parties agree to the following terms and conditions:
I. Purpose and Scope of Agreement
[Your Company Name] will provide recruitment and placement services to BrandKat to source, evaluate, and present qualified candidates for open positions within BrandKat. These services include but are not limited to candidate sourcing, screening, interview coordination, and providing a shortlist of suitable candidates for BrandKat's review.
BrandKat will provide detailed job descriptions and expectations for each position to be filled to ensure that [Your Company Name]’s efforts align with BrandKat's recruitment needs.
II. Retainer Fee and Payment Terms
Retainer Fee
BrandKat agrees to pay [Your Company Name] a non-refundable retainer fee of $12,000 for the recruitment services rendered under this Agreement. This fee is payable upon execution of this Agreement and covers the initial search, sourcing, and screening of candidates.
Additional Placement Fees
In addition to the retainer, BrandKat will pay a placement fee of 20% of the candidate’s first-year total compensation for each candidate successfully hired through the recruitment efforts of [Your Company Name].
Payment Terms
The retainer fee is due upon the execution of this Agreement. Placement fees are due 30 days from the date the candidate begins employment with BrandKat. In the case of late payment, a 1.5% interest charge will apply to the overdue amount for each month of delay.
III. Recruitment Services
[Your Company Name] agrees to provide the following recruitment services:
Sourcing candidates via job boards, networking, etc.
Screening resumes to assess candidates' qualifications.
Conducting initial interviews to evaluate candidates’ suitability.
Presenting a shortlist of qualified candidates for BrandKat's review and selection.
Coordinating interviews and negotiating candidate offers.
These services will continue until a candidate is hired or until the Agreement's expiration, whichever occurs first.
IV. Term and Termination
Term
This Agreement shall commence on January 1, 2050, and shall continue in effect for a period of six (6) months, unless terminated earlier as described herein.
Termination
Either Party may terminate this Agreement by providing written notice of termination 30 days in advance. If the Agreement is terminated by BrandKat before a candidate is hired, the retainer fee will remain non-refundable. If [Your Company Name] terminates the Agreement, any unearned fees will be refunded to BrandKat.
V. Confidentiality
Both Parties agree to maintain the confidentiality of all proprietary information disclosed during the course of this Agreement, including but not limited to business data, candidate information, and recruitment strategies. This confidentiality obligation will survive the termination of this Agreement.
VI. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
VII. Indemnification
Each Party agrees to indemnify and hold harmless the other Party against any claims, damages, losses, or liabilities arising from the negligence or willful misconduct of the indemnifying Party in connection with the performance of this Agreement.
VIII. Entire Agreement
This Agreement constitutes the entire understanding between the Parties with respect to the subject matter and supersedes all prior or contemporaneous communications, agreements, or understandings, whether written or oral, relating to the subject matter of this Agreement.
