Manpower Recruitment Agreement
This Manpower Recruitment Agreement (the "Agreement") is entered into as of January 1, 2050, by and between [Your Company Name], with its principal office located at [Your Company Address], and BeansBee, located at Nashville, TN 37201. The Parties agree to the following terms and conditions:
I. Purpose of Agreement
The purpose of this Agreement is for [Your Company Name] to provide recruitment services to BeansBee for the purpose of sourcing, screening, and placing qualified manpower for various roles within BeansBee. [Your Company Name] shall be responsible for providing manpower as required by BeansBee based on the job descriptions and specifications provided by BeansBee.
II. Recruitment Services

Sourcing Candidates: Identify and recruit qualified candidates for positions specified by BeansBee.
Screening Candidates: Assess candidates’ qualifications, background, and experience to ensure they meet BeansBee's requirements.
Interview Coordination: Organize interviews between selected candidates and BeansBee.
Placement: Provide selected candidates to BeansBee to fill open positions.

III. Fees and Payment Terms
Recruitment Fee
For each successful placement made, BeansBee shall pay [Your Company Name] a fee equal to 15% of the candidate's first-year annual salary or compensation. This fee is payable within 30 days from the candidate's start date with BeansBee.
Payment Terms
The recruitment fees must be paid in full within 30 days from the date the candidate commences employment with BeansBee. In the event of non-payment, BeansBee agrees to pay a late fee of 1.5% per month on the outstanding balance until paid in full.
IV. Term and Termination
Term
This Agreement shall be effective from January 1, 2050, and shall remain in force for a period of 12 months, unless terminated earlier in accordance with the terms of this Agreement.
Termination
Either Party may terminate this Agreement by providing 30 days written notice to the other Party. If [Your Company Name] terminates the Agreement, any unearned fees for candidates who have not yet been placed will be refunded. If BeansBee terminates the Agreement, all fees for candidates placed before the termination date shall remain due and payable.
V. Confidentiality
Both Parties agree to maintain confidentiality with respect to any sensitive information shared during the recruitment process, including but not limited to candidate data, business strategies, and other proprietary information. This confidentiality obligation survives the termination of this Agreement.
VI. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles.
VII. Indemnification
Each Party agrees to indemnify and hold harmless the other Party against any claims, damages, or liabilities arising from its own actions, omissions, or negligence related to the performance of this Agreement.
VIII. Entire Agreement
This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and understandings between the Parties.
