Sample Recruitment Agreement

I. Purpose of the Agreement

II. Scope of Recruitment Services

III. Fees and Payment Terms
Recruitment Fee

Payment Terms
The recruitment fee shall be due within 30 days after the candidate’s first day of employment with CastleBrand. In the event of late payment, a penalty of 1.5% per month shall apply to the outstanding balance.
IV. Term and Termination
Term
This Agreement shall commence on February 15, 2050, and shall remain in effect for a period of 12 months, unless terminated earlier as provided herein.
Termination
Either Party may terminate this Agreement by providing 30 days written notice to the other Party. In the event of termination, any fees for services rendered prior to termination will remain due and payable. If a candidate is placed before termination, the recruitment fee shall be payable regardless of the termination date.
V. Confidentiality
Both Parties agree to maintain confidentiality regarding any proprietary or sensitive information shared during the recruitment process. This includes, but is not limited to, candidate information, business strategies, and compensation details. This confidentiality obligation shall remain in effect even after the termination of this Agreement.
VI. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of laws principles.
VII. Indemnification
Each Party agrees to indemnify and hold harmless the other Party from any claims, damages, liabilities, or losses arising out of the negligent or wrongful actions of the indemnifying Party in connection with this Agreement.
VIII. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements or understandings, written or oral, relating to the subject matter hereof.
