Physician Recruitment Agreement
I. Introduction
This Physician Recruitment Agreement ("Agreement") is made and entered into on the 12th day of December, 2050, by and between:
Nursing Inc., a corporation organized and existing under the laws of the State of Nevada, with its principal office located at Las Vegas, NV 89030 (hereinafter referred to as "Client"), and
[Your Company Name], a corporation organized and existing under the laws of the State of Nevada, with its principal office located at [Your Company Address] (hereinafter referred to as "Service Provider").
Collectively, the "Parties."
II. Purpose
The purpose of this Agreement is to establish the terms and conditions under which [Your Company Name] will provide physician recruitment services to Nursing Inc.. The Service Provider shall assist the Client in finding and placing qualified physicians to meet the medical staffing needs of the Client.
III. Definitions
For the purposes of this Agreement:

Physician: A medical professional licensed to practice medicine, who meets the qualifications and credentials set forth by the Client for specific job openings.

Recruitment Services: The comprehensive process performed by the Service Provider to identify, assess, and place suitable physicians within the Client's organization.

Job Requisition: A formal request made by the Client to the Service Provider for recruitment services related to a specific physician position.
IV. Scope of Services
A. General Services
The Service Provider will provide the following services:

Assess the client's specific physician staffing needs.

Developing and posting job advertisements for physician positions.

Sourcing and screening potential candidates based on the Client’s needs.

Coordinating interviews between the Client and the selected candidates.

Assisting in the offer negotiation process.

Providing periodic reports to the Client on recruitment progress.
B. Service Level Standards
The Service Provider commits to performance standards for each recruitment.

Present three qualified physician candidates within four weeks of a job requisition.

Ensure 80% of candidates meet the Client's minimum qualifications.

Maintain a 90% acceptance rate of job offers extended to physicians.
C. Exclusions
The following services are excluded from this Agreement:

Credentialing or licensing of physicians.

Immigration or visa-related services for international candidates.

Onboarding, orientation, and training of hired physicians.
V. Fees and Payment
A. Fees
The Client agrees to pay the following fees to the Service Provider:

A fixed monthly retainer fee of $8,000 for ongoing recruitment services.

A 20% fee of the physician's first-year salary applies for successful hires.
B. Payment Terms
The Client shall pay invoices issued by the Service Provider within thirty (30) days of receipt. A late fee of 1.5% per month will be applied to any overdue payments.
VI. Confidentiality
A. Confidential Information
Both parties agree to keep all proprietary information confidential, including but not limited to candidate details, business strategies, and financial information.
B. Duration of Confidentiality
The confidentiality obligations will remain in effect for a period of five (5) years following the termination of this Agreement.
VII. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.
VIII. Indemnification
A. Indemnity by the Service Provider
The Service Provider agrees to indemnify and hold harmless Nursing Inc., its officers, employees, and agents from any claims, damages, or liabilities arising out of the Service Provider’s recruitment activities under this Agreement.
B. Indemnity by the Client
The Client agrees to indemnify and hold harmless [Your Company Name], its officers, employees, and agents from any claims, damages, or liabilities arising out of the Client's use of the recruited physician or services provided under this Agreement.
IX. Term and Termination
A. Term
This Agreement shall be effective from January 1, 2050, and will continue for a period of two (2) years, unless terminated earlier in accordance with this Agreement.
B. Termination for Convenience
Either party may terminate this Agreement for any reason by providing thirty (30) days’ written notice to the other party.
C. Termination for Cause
Either party may terminate this Agreement immediately in the event of a material breach by the other party, provided the breach is not cured within ten (10) days after written notice.
X. Miscellaneous
A. Force Majeure
Neither party shall be held responsible for any delays or failure to perform due to causes beyond its reasonable control, including acts of nature, acts of government, or other unforeseeable events.
B. Amendments
This Agreement may only be amended by a written document signed by both parties.
XI. Signatory Section
