Recruitment Agency Agreement with Candidate
I. Introduction
This Recruitment Agency Agreement ("Agreement") is made and entered into on the 12th day of December, 2050, by and between:
ZooMoco, a corporation organized and existing under the laws of the State of Virginia, with its principal office located at Virginia Beach, VA 23450 (hereinafter referred to as "Client"), and
[Your Company Name], a recruitment agency organized and existing under the laws of the State of Virginia, with its principal office located at [Your Company Address] (hereinafter referred to as "Agency").
Collectively, the "Parties."
This Agreement outlines the terms under which [Your Company Name] will provide recruitment services to ZooMoco for the purpose of placing candidates in specified roles within the Client's organization.
II. Scope of Services
A. Recruitment Services
The Agency agrees to provide recruitment services for the Client, including:

Sourcing qualified candidates for client roles.

Conducting initial interviews and assessments to evaluate candidate qualifications.

Presenting qualified candidates to the Client for consideration.

Facilitating the interview process between the Client and selected candidates.

Aiding in candidate negotiation and placement within the Client's organization.
B. Job Descriptions and Candidate Requirements
The Client agrees to provide the Agency with clear job descriptions and any specific requirements for each role to be filled. The Agency will ensure all candidates meet the established criteria before presenting them to the Client.
C. Exclusions
This Agreement excludes the following services:

Direct recruiting efforts outside of the roles specified by the Client.

Legal or compliance services related to employment contracts or hiring practices.

Candidate onboarding or orientation services.
III. Fees and Payment Terms
A. Recruitment Fees
The Client agrees to pay the Agency the following recruitment fees:

A fixed fee of $5,000 for each successfully placed candidate for permanent positions.

A fixed fee of $2,500 for each successfully placed candidate for temporary or contract positions.
B. Payment Terms
The Client will make payments to the Agency within thirty (30) days of the candidate’s start date. In the event the candidate leaves the Client’s employment within ninety (90) days, the Agency will provide a replacement candidate at no additional charge.
IV. Candidate Guarantee
A. Replacement Guarantee
If a placed candidate leaves the Client’s organization or is terminated within ninety (90) days of employment, the Agency agrees to find a suitable replacement at no additional cost to the Client.
B. Limitations
The replacement guarantee only applies to candidates placed in roles that were clearly defined in the job description provided by the Client.
V. Confidentiality
A. Confidential Information
Both parties agree to maintain the confidentiality of all proprietary information shared during the recruitment process. This includes, but is not limited to, candidate data, interview notes, and any business-related information exchanged between the Agency and the Client.
B. Duration of Confidentiality
The confidentiality obligations outlined in this Agreement shall survive for a period of three (3) years after the termination of this Agreement.
VI. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Virginia, without regard to its conflict of law provisions.
VII. Term and Termination
A. Term
This Agreement shall be effective as of January 1, 2050, and remain in effect for a period of one (1) year, unless terminated earlier in accordance with the provisions outlined in this Agreement.
B. Termination for Convenience
Either party may terminate this Agreement with thirty (30) days written notice to the other party.
C. Termination for Cause
Either party may terminate this Agreement immediately for a material breach, provided the breach is not cured within ten (10) days of receiving written notice of the breach.
VIII. Indemnification
A. Indemnity by the Agency
The Agency agrees to indemnify and hold harmless ZooMoco, its officers, employees, and agents from any claims, damages, or liabilities arising from the recruitment process.
B. Indemnity by the Client
The Client agrees to indemnify and hold harmless [Your Company Name], its officers, employees, and agents from any claims, damages, or liabilities related to the employment of the recruited candidates.
IX. Miscellaneous
A. Force Majeure
Neither party shall be held responsible for failure to perform due to causes beyond their control, including acts of nature, governmental action, or other unforeseen events.
B. Amendments
This Agreement may be amended only by a written document signed by both parties.
X. Signatory Section
