Recruitment Exclusivity Agreement
I. Agreement Overview
This Recruitment Exclusivity Agreement (the "Agreement") is entered into on January 15, 2050, by and between:
ApTerra, with its principal place of business located at Omaha, NE 68101 ("Client"), and

Together referred to as the "Parties."
This Agreement establishes an exclusive relationship between the Client and the Agency, whereby the Agency shall be the sole provider of recruitment services for specified roles within the Client’s organization.
II. Recruitment Services & Responsibilities
A. Exclusivity Terms
The Agency is the exclusive recruiter for the Client, assigned to fill the roles outlined in Exhibit A of this Agreement (the "Positions"). The Client agrees not to engage any other third-party recruitment services for these positions for the duration of the Agreement.
B. Services Rendered
The Agency’s responsibilities include, but are not limited to:

Sourcing qualified candidates through various channels.

Screening applicants to ensure alignment with job specifications.

Providing a curated list of shortlisted candidates for interviews.

Managing interview logistics and facilitating the offer process.
The Client will provide the necessary information regarding each position, including job descriptions, candidate requirements, and compensation details.
III. Fees & Payment Structure
A. Fee Calculation
The recruitment fee will be based on the candidate’s starting salary as follows:

20% of the candidate's first-year salary for permanent roles.

15% for temporary or contract roles.
B. Payment Terms
Fees must be paid within 30 days following the candidate's start date. If a placement is terminated within 90 days of the hire, the Agency will provide a replacement without charging additional fees.
IV. Client Duties & Commitments
A. Providing Detailed Job Specifications
The Client agrees to provide accurate and comprehensive details about the job positions, including expectations, required qualifications, and other necessary information.
B. Cooperation During Recruitment
The Client agrees to actively engage with the Agency by offering timely feedback on candidates and ensuring prompt responses to inquiries.
V. Confidentiality & Data Protection
A. Non-Disclosure
Both Parties agree that all sensitive information related to the recruitment process, including candidate profiles and interview notes, will remain confidential and not be disclosed to unauthorized parties.
B. Data Security
Both Parties agree to follow best practices for safeguarding candidate data and complying with applicable data protection laws.
VI. Agreement Duration & Termination
A. Duration
This Agreement will remain in effect for 12 months, commencing from the date of execution. After this term, either Party may renew or terminate the Agreement with 30 days’ notice.
B. Termination for Cause
Either Party may terminate this Agreement if the other Party breaches any material term, provided the breach remains uncured for 15 days after written notice.
VII. Legal Provisions
A. Governing Law
This Agreement will be governed by and construed in accordance with the laws of Nebraska, without regard to conflict-of-law principles.
B. Indemnification
The Agency agrees to indemnify the Client against any liabilities arising from its recruitment process. Similarly, the Client agrees to indemnify the Agency against any claims resulting from employment actions post-placement.
