Temporary Staffing Recruitment Agreement


I. Introduction

This Temporary Staffing Recruitment Agreement ("Agreement") is entered into on May 12, 2050, by and between:

Envexa, a company located at Colorado Springs, CO 80901 ("Company"), and
[Your Company Name], a staffing agency with its principal office at [Your Company Address] ("Recruiter").

The purpose of this Agreement is to outline the terms and conditions under which the Recruiter will provide temporary staffing services to the Company.


II. Services

A. Staffing Services Provided

The Recruiter agrees to source, screen, and provide qualified temporary staff ("Temporary Staff") to fulfill the Company’s operational needs, including:

  • Administrative support

  • Technical staff

  • Project-based roles

  • Any other roles requested by the Company.

B. Recruitment Process

The Recruiter shall:

  1. Find candidates via job boards, referrals, and networks.

  2. Verify candidates' qualifications, skills, and experience.

  3. Conduct reference and background checks as required by the Company.

  4. Coordinate candidate onboarding upon the Company’s selection.


III. Payment Terms

A. Service Fees

The Company agrees to pay the Recruiter a service fee equal to 18% of the total compensation paid to each Temporary Staff during their period of assignment.

B. Invoicing and Payment

  1. Bi-weekly invoices will detail Temporary Staff hours and fees.

  2. Payments are due within 15 days of invoice receipt.

C. Late Payments

A late payment fee of 1.5% per month will be applied to overdue invoices.


IV. Responsibilities of the Parties

A. Responsibilities of the Recruiter

  1. Supply qualified temporary staff as per company requirements.

  2. Ensure all Temporary Staff comply with applicable employment laws and regulations.

  3. Handle payroll, taxes, and benefits for Temporary Staff unless otherwise agreed.

B. Responsibilities of the Company

  1. Clearly outline job roles, qualifications, and work schedules.

  2. Provide a safe working environment for Temporary Staff.

  3. Notify the Recruiter promptly of any issues or concerns regarding Temporary Staff.


V. Confidentiality

A. Protection of Information

Both Parties agree to maintain confidentiality regarding:

  • Candidate details and personal information.

  • The Company’s internal processes, data, and operational details.

B. Non-Disclosure

Neither Party may disclose confidential information to third parties without prior written consent, except where required by law.


VI. Term and Termination

A. Duration

This Agreement begins on May 12, 2050, and continues until terminated by either Party.

B. Termination

  1. By Either Party: Either Party may terminate this Agreement with 30 days’ written notice.

  2. For Cause: This Agreement may be terminated immediately upon a material breach by the other Party.


VII. Indemnification

A. Recruiter’s Liability

The Recruiter shall indemnify and hold harmless the Company against any claims arising from the Recruiter’s failure to comply with employment laws or contractual obligations.

B. Company’s Liability

The Company agrees to indemnify and hold harmless the Recruiter against any claims arising from the Company’s failure to provide a safe workplace or comply with applicable laws.


VIII. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Colorado. Any disputes arising under this Agreement shall be resolved in the courts located in Colorado Springs, Colorado.


IX. Signatories

By signing below, the Parties agree to the terms and conditions outlined in this Agreement.
