Temporary Staffing Recruitment Agreement
I. Introduction
This Temporary Staffing Recruitment Agreement (“Agreement”) is entered into on August 15, 2050, by and between:

II. Services

III. Fees and Payment
A. Recruitment Fees
The Company agrees to pay a service fee to the Recruiter equivalent to 20% of the Temporary Employee’s gross compensation during their contract period.
B. Payment Terms

Invoices will be issued monthly, detailing services rendered.

Payments are due within 30 days of receipt of the invoice.
C. Late Payments
Overdue payments will incur an interest charge of 1% per month on the outstanding balance.
IV. Responsibilities of the Parties
A. Recruiter’s Responsibilities

Ensure all candidates presented are appropriately vetted, including conducting background checks and verifying references where applicable.

Remain in compliance with all local, state, and federal laws regarding employment practices.

Provide replacements for any candidate who resigns or is terminated within 30 days of their start date at no additional cost.
B. Company’s Responsibilities

Provide accurate and comprehensive job descriptions and expectations for each role.

Ensure a safe and legally compliant workplace for all Temporary Employees.

Communicate promptly with the Recruiter regarding any issues or concerns with placed candidates.
V. Confidentiality
A. Non-Disclosure of Information
Both parties agree to protect all confidential information disclosed during the execution of this Agreement. This includes, but is not limited to:

Candidate data

Internal company processes
-
Financial information
B. Exceptions
Confidential information may only be disclosed where required by law or with prior written consent from the disclosing party.
VI. Term and Termination
A. Term of Agreement
This Agreement will remain effective from August 15, 2050, until terminated by either party under the conditions outlined herein.
B. Termination

Either party may terminate this Agreement with 30 days’ written notice.

Either party can terminate the Agreement immediately if the other breaches it.
VII. Indemnification
A. By the Recruiter
The Recruiter shall indemnify and hold harmless the Company against any claims, losses, or liabilities arising from the Recruiter’s breach of this Agreement or failure to comply with applicable employment laws.
B. By the Company
The Company agrees to indemnify and hold harmless the Recruiter against any claims, losses, or liabilities resulting from workplace incidents or non-compliance with applicable laws.
VIII. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of New Jersey. Any disputes arising under this Agreement shall be resolved exclusively in the courts located in Newark, New Jersey.
