This Real Estate Investment Contract ("Contract") is entered into by and between [YOUR COMPANY NAME], referred to as the "Investor," and Berta Flatley, referred to as the "Seller." This agreement is effective as of January 15, 2053.
I. DEFINITIONS

III. PURCHASE PRICE AND PAYMENT TERMS

Payment Structure: The Investor shall pay the Seller the Purchase Price as follows:

$10,000 to be paid as an earnest deposit upon execution of this Contract.

IV. CLOSING CONDITIONS
The closing of this transaction is contingent upon the following conditions:

Title Search: The Investor shall be satisfied with the results of a title search confirming that the Seller has good title to the Real Property.

Inspection: The Investor may, at their expense, inspect the property before closing and may request any necessary repairs or modifications. The Seller agrees to address any reasonable requests for repairs or compensation.

Financing: The Investor shall obtain financing for the purchase of the Real Property, if applicable.
V. WARRANTIES AND REPRESENTATIONS

Seller's Warranties:

The Seller warrants that they have full authority to sell the Real Property and that the property is free from any encumbrances, unless otherwise disclosed.

The Seller further warrants that no litigation is pending or threatened regarding the Real Property.

The Investor warrants that they have the financial capacity to complete the purchase as outlined in this Contract.

The Investor will not engage in any activity that could negatively impact the title or condition of the Real Property.

VI. CLOSING COSTS AND EXPENSES
The following costs and expenses shall be paid by the parties as described below:

Investor: Responsible for financing fees, inspection costs, and their own legal fees.

Seller: Responsible for the cost of clearing the title, transfer taxes, and their own legal fees.
VII. DEFAULT AND REMEDIES

Investor's Default: If the Investor fails to complete the transaction as specified in this Contract, the earnest deposit shall be forfeited to the Seller.

Seller's Default: If the Seller fails to complete the transaction as specified, the Investor may seek to recover the earnest deposit or pursue specific performance of the Contract.
VIII. MISCELLANEOUS

Entire Agreement: This Contract constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and understandings.

Amendments: Any amendments to this Contract must be in writing and signed by both parties.

Governing Law: This Contract shall be governed by the laws of Washington.

Dispute Resolution: Any disputes arising out of this Contract shall be resolved through arbitration in Spokane County, Washington.
