Private Investment Contract
This Private Investment Contract ("Contract") is entered into as of January 15, 2053, by and between:

INVESTOR: Efrain Abshire, with a principal address at Shreveport, LA 71101 (hereinafter referred to as "Investor"), and

COMPANY: [YOUR COMPANY NAME], a company incorporated and existing under the laws of the United States, with its principal place of business located at [YOUR COMPANY ADDRESS] (hereinafter referred to as "Company").
This Contract governs the terms and conditions under which the Investor agrees to make an investment in the Company.
I. DEFINITIONS

Investment refers to the sum of money or assets provided by the Investor to the Company, as detailed in Section III below.

Capital Contribution refers to any additional financial input or assets provided by the Investor after the initial investment, if applicable.
II. PURPOSE OF INVESTMENT
The Investor agrees to provide funding to the Company for the purpose of business expansion, including the development of new product lines and the opening of additional retail locations, in accordance with the terms and conditions set forth in this Contract.
III. INVESTMENT AMOUNT

Investment Amount: The Investor agrees to invest a total amount of Five Million Dollars ($5,000,000) in the Company. The funds shall be delivered in the following manner:

Payment Schedule: One-time payment of $5,000,000 upon execution of this Contract.

Additional Contributions: Any future contributions by the Investor will be subject to mutual agreement and will be outlined in separate amendments to this Contract.
IV. EQUITY AND OWNERSHIP RIGHTS
In exchange for the Investment, the Investor shall receive equity ownership in the Company, represented by 500,000 shares of common stock, which will represent 20% ownership in the Company. The specific terms regarding the Investor’s ownership interest are as follows:

Ownership Percentage: 20%

Voting Rights: The Investor shall have voting rights proportional to their ownership percentage.

Dividends: The Company shall distribute dividends to the Investor based on their ownership percentage, subject to the Company’s profitability and board approval.
V. USE OF FUNDS
The Company agrees to utilize the Investment solely for the following purposes:

Expansion of retail locations, development of new products, marketing initiatives, and hiring additional staff to support growth efforts.
The Company shall provide the Investor with regular updates on the use of funds as agreed upon.
VI. TERM OF AGREEMENT
This Contract shall remain in effect until the Investment is repaid or otherwise terminated under the terms of this agreement, unless amended by mutual consent. The term is set to end on January 15, 2063, unless earlier terminated according to the provisions of this Contract.
VII. WARRANTIES AND REPRESENTATIONS

Investor's Representations: The Investor represents and warrants that they have the full legal capacity and authority to enter into this agreement and that the funds provided are not derived from illegal activities.

Company's Representations: The Company represents and warrants that it is duly authorized to enter into this Contract and that the funds will be used in compliance with all applicable laws.
VIII. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of all proprietary and financial information disclosed under this agreement. This confidentiality obligation shall survive the termination of the agreement.
IX. TERMINATION

Termination by the Investor: The Investor may terminate this Contract in the event of a material breach by the Company, provided that the breach is not cured within 30 days after written notice.

X. DISPUTE RESOLUTION
Any dispute arising out of or in connection with this Contract shall be resolved through binding arbitration. The venue for dispute resolution shall be Shreveport, Louisiana.
XI. GOVERNING LAW
This Contract shall be governed by and construed in accordance with the laws of Louisiana.
XII. MISCELLANEOUS

Amendments: This Contract may be amended only by a written agreement signed by both parties.

Severability: If any provision of this Contract is found to be invalid or unenforceable, the remainder of the Contract will remain in full force and effect.

Entire Agreement: This Contract constitutes the entire agreement between the parties and supersedes all prior discussions, agreements, and understandings.
