Freight Broker Agreement
This Freight Broker Agreement (the "Agreement") is made and entered into as of January 1, 2081, by and between [YOUR COMPANY NAME], a corporation with its principal place of business at [YOUR COMPANY ADDRESS] (“Broker”), and OmegaGen, a corporation with its principal place of business at Fresno, CA 93701 (“Carrier”).
I. Purpose
The purpose of this Agreement is to set forth the terms and conditions under which the Broker will arrange for the transportation of goods on behalf of the Carrier as a licensed freight broker. The Broker is engaged in the business of arranging for the transportation of freight by motor carrier, and the Carrier desires to utilize the services of the Broker to obtain shipments, on the terms and conditions set forth herein.
II. Broker Obligations
2.1 Authority
The Broker represents and warrants that it holds all necessary licenses, permits, and approvals required to perform its obligations under this Agreement and to arrange for the interstate transportation of freight.
2.2 Duties
The Broker agrees to solicit and obtain freight transportation opportunities for the Carrier from shippers and to handle the necessary paperwork for dispatching freight under the Carrier's operating authority.
III. Carrier Obligations
3.1 Authority
The Carrier represents and warrants that it holds all necessary licenses, permits, and approvals required to perform its obligations under this Agreement and for the interstate transportation of freight.
3.2 Duties
The Carrier agrees to accept and transport reliable and safe freight adhering to pickup and delivery schedules as provided by the Broker.
IV. Compensation
As full compensation for services rendered under this Agreement, the Broker agrees to pay the Carrier in accordance with the rates and schedules further detailed in Appendix A attached hereto and made a part hereof.
V. Term and Termination
This Agreement shall commence on the date first written above and shall continue until terminated by either party upon thirty (30) days prior written notice to the other party.
VI. Miscellaneous
6.1 Entire Agreement
This Agreement constitutes the entire understanding between the Broker and the Carrier, and supersedes all prior negotiations, understandings, and agreements between the parties concerning the subject matter hereof.
6.2 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
