Commercial Loan Broker Agreement
This Commercial Loan Broker Agreement (“Agreement”) is entered into as of August 15, 2064, by and between [YOUR NAME], a Broker in [YOUR COMPANY NAME], with its principal place of business at [YOUR COMPANY ADDRESS] (“Broker”), and Envexa, with its principal place of business at Colorado Springs, CO 8090 (“Client”).
1. Purpose
The purpose of this Agreement is to set forth the terms and conditions under which the Broker will introduce the Client to potential lenders for the purpose of obtaining commercial loans.
2. Broker’s Duties
2.1 Loan Sourcing
The Broker agrees to use its best efforts to introduce the Client to potential lenders that may provide commercial loans suitable for the Client’s requirements. The Broker shall assist in the loan application process and provide necessary guidance to streamline negotiations between the Client and prospective lenders.
2.2 Confidentiality
The Broker agrees to maintain the confidentiality of all information received from the Client and shall not disclose any material information without the Client’s prior written consent, except as required to perform the services outlined in this Agreement.
3. Client’s Duties
3.1 Provision of Information
The Client shall provide the Broker with all necessary information and documentation required to facilitate the loan sourcing process. The Client ensures that all provided information is accurate and truthful.
3.2 Payment of Fees
The Client agrees to pay the Broker a fee of $25,000 upon successful funding of a loan introduced by the Broker. The payment terms and conditions shall be discussed and finalized separately.
4. Term and Termination
4.1 Term
This Agreement shall commence on the Effective Date and continue until terminated by either party in writing with a 30-day notice period.
4.2 Termination
Either party may terminate this Agreement if the other party fails to comply with its obligations outlined herein, provided the breaching party is given written notice and a reasonable opportunity to cure the breach.
5. Miscellaneous
5.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.
5.2 Amendments
No modification or amendment of this Agreement shall be valid unless in writing and signed by both parties.
5.3 Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior discussions, negotiations, or agreements.
