Broker Compensation Agreement
I. PARTIES TO THE AGREEMENT
This Broker Compensation Agreement ("Agreement") is made and entered into as of December 14, 2066, by and between [YOUR COMPANY NAME], with its principal place of business located at [YOUR COMPANY ADDRESS] ("Company"), and Jake Willms, with a business address at Arlington, TX 76001 ("Broker").
II. RECITALS
WHEREAS, the Company desires to engage the Broker to perform certain services as described herein;
WHEREAS, the Broker agrees to provide such services in exchange for compensation as specified in this Agreement;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
III. TERM OF AGREEMENT
This Agreement shall commence on January 1, 2067 and shall remain in effect until December 31, 2067, unless otherwise extended or terminated in accordance with the provisions of this Agreement.
IV. SCOPE OF SERVICES
Broker agrees to provide the following services:

Facilitating client transactions for the Company’s real estate and leasing projects.

Identifying and connecting the Company with potential clients in targeted markets.

Any additional services as may be mutually agreed upon in writing by both parties.
V. COMPENSATION

Commission Rate: The Company agrees to compensate the Broker with a commission rate of 5% on the net proceeds of each transaction successfully facilitated by the Broker.

Payment Terms: Payments will be made within 30 days following the successful completion of each transaction and receipt of payment from the client.

Expenses: The Company will reimburse the Broker for the following expenses: pre-approved travel expenses and marketing materials, provided proper documentation is submitted.
VI. INDEPENDENT CONTRACTOR RELATIONSHIP
The Broker shall perform all services under this Agreement as an independent contractor and not as an employee of the Company. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, or joint venture between the parties.
VII. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of all non-public information disclosed in connection with this Agreement. Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.
VIII. TERMINATION

Either party may terminate this Agreement upon 30 days written notice to the other party.

In the event of termination, the Broker shall be entitled to compensation for all services rendered and completed up to the termination date.
IX. INDEMNIFICATION
The Broker agrees to indemnify and hold harmless the Company, its officers, agents, and employees from and against any claims, liabilities, losses, or damages arising out of the Broker's performance of services under this Agreement, except to the extent caused by the Company’s negligence or misconduct.
X. GENERAL PROVISIONS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.

Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, or understandings, whether written or oral.

Amendments: This Agreement may only be amended or modified in writing, signed by both parties.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
