Service Maintenance Agreement
This Service Maintenance Agreement ("Agreement") is made and entered into as of the June 1, 2055, by and between BrandKat ("Service Provider"), with its principal place of business at Baltimore, MD 21201, and Lyda Fadel ("Customer"), with its principal place of business at Boston, MA 02102.
1. Purpose
The purpose of this Agreement is to define the terms and conditions under which the Service Provider agrees to provide maintenance services for HVAC systems and related equipment to the Customer. The Service Provider will ensure the equipment's optimal performance and functionality through regular inspections, cleaning, repairs, and technical support as required.
2. Scope of Services
2.1 Maintenance Services
The Service Provider agrees to perform the following maintenance services:
Regular inspections and preventative maintenance.
Troubleshooting and repair of any malfunctions.
Replacement of defective parts and components.
Technical support and consultation.
2.2 Service Exclusions
The following services are not included in this Agreement:
Upgrades or enhancements to the current system.
Damage caused by misuse, neglect, or unauthorized modifications.
Services required due to natural disasters or other Force Majeure events.
3. Term and Termination
3.1 Term
This Agreement shall commence on June 2, 2055 and shall continue in effect for a period of 6 months unless terminated earlier in accordance with this Agreement.
3.2 Termination
Either party may terminate this Agreement by providing 30 days written notice to the other party. Additionally, this Agreement may be terminated immediately if either party breaches any material term of this Agreement and fails to cure such breach within 15 days after receiving written notice of the breach from the other party.
4. Compensation
The Customer agrees to pay the Service Provider a fee of $500 per 10 for services rendered under this Agreement. Payment is due every 6th day of the month upon receipt of an invoice.
5. General Provisions
5.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Maryland.
5.2 Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
5.3 Amendments
Any amendments to this Agreement must be in writing and signed by both parties.
