This Shipper Broker Agreement ("Agreement") is made and entered into as of January 1, 2064, by and between [YOUR COMPANY NAME], a corporation having its principal place of business at [YOUR COMPANY ADDRESS], represented by [YOUR NAME], (herein referred to as the "Shipper"), and NeoEdge, a licensed freight broker with its principal office at Reno, NV 89501, represented by Emmy Green, (herein referred to as the "Broker"). The Shipper and the Broker may individually be referred to as a "Party" and collectively as the "Parties."


1. Purpose

The purpose of this Agreement is to set forth the terms and conditions under which the Broker will arrange for the transportation of freight from its origin to its destination on behalf of the Shipper. This includes negotiating freight rates, selecting suitable carriers, and managing logistics.


2. Obligations of the Broker

2.1. Shipping Arrangements

The Broker agrees to arrange for the transportation of Shipper's freight in a timely and cost-effective manner utilizing duly authorized motor carriers. The Broker will act as the intermediary between the Shipper and the carriers, ensuring that all shipments are delivered efficiently and according to the agreed schedule.

2.2. Compliance with Laws

The Broker shall comply with all federal, state, and local laws and regulations applicable to the provision of its services, including but not limited to maintaining a valid freight broker license and any other necessary permits. The Broker also agrees to follow any industry standards that are relevant to the shipping process.

2.3. Reporting and Documentation

The Broker shall maintain and provide the Shipper with necessary shipping documents, including but not limited to bills of lading, proof of delivery, shipment tracking, and invoices. The Broker shall report the shipping status and any significant events related to the shipment promptly.


3. Obligations of the Shipper

3.1. Accurate Information

The Shipper agrees to provide accurate and complete information related to the nature, value, and size of the freight, including any special handling, storage, or transport requirements. This includes ensuring that all items are adequately described in terms of size, weight, packaging, and any regulatory constraints such as hazardous materials.

3.2. Payment

The Shipper agrees to pay the Broker for services rendered in accordance with the rates and payment terms agreed upon in advance, which will be detailed in a separate Schedule of Rates. Payments shall be made to the Broker upon receipt of an invoice, in accordance with the payment terms stipulated in this Agreement.


4. Liability and Insurance

4.1. Broker Liability

The Broker shall not be liable for any loss, damage, or delay of the freight except to the extent that such loss, damage, or delay arises from the Broker's negligent acts or omissions. The Shipper agrees to hold the Broker harmless from any claims, damages, or liabilities arising from incidents beyond the control of the Broker, including but not limited to natural disasters, carrier errors, or criminal acts.

4.2. Insurance

The Broker shall procure and maintain appropriate insurance coverage as required by law and as agreed upon by the Parties, including but not limited to cargo insurance. The Broker will ensure that the insurance policy covers potential risks associated with the transportation of freight.


5. Term and Termination

This Agreement shall commence on the date first above written and shall continue in effect until terminated by either Party with thirty (30) days written notice to the other Party. Upon termination, any pending shipments or services already contracted will be completed or invoiced as applicable.


6. Confidentiality

Both Parties agree to keep confidential any proprietary information, including pricing, trade secrets, and shipping details, and use such information exclusively for the purposes of fulfilling this Agreement. This obligation shall continue indefinitely, even after the termination of this Agreement.


7. Miscellaneous

7.1. Entire Agreement

This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements or understandings, whether written or oral, relating to the transportation of freight.

7.2. Modifications

No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.

7.3. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws principles.
