Broker Carrier Agreement
Purpose
This Broker Carrier Agreement ("Agreement") is entered into by and between DevoWorld, a corporation with principal offices at Des Moines, IA 50301 ("Broker"), and [YOUR COMPANY NAME], a corporation with principal offices at [YOUR COMPANY ADDRESS] ("Carrier"). The purpose of this Agreement is to establish the terms and conditions under which the Carrier will provide transportation and related services for shipments tendered by the Broker.
Responsibilities of the Broker
Shipment Tendering
The Broker agrees to tender shipments to the Carrier for transportation services on a non-exclusive basis. The Broker shall provide detailed information regarding each shipment, including pickup and delivery locations, required delivery timeframes, and any special handling instructions.
Payment of Fees
The Broker agrees to pay the Carrier for transportation services rendered in accordance with the rates set forth in Exhibit A, attached hereto and incorporated by reference. Payment shall be made within 30 days of receipt of the Carrier's invoice.
Responsibilities of the Carrier
Transportation Services
The Carrier agrees to provide safe and efficient transportation of goods tendered by the Broker. The Carrier shall comply with all applicable federal, state, and local laws and regulations governing the transportation of goods.
Insurance
The Carrier agrees to maintain at its own expense insurance coverage, including but not limited to, cargo, liability, and workers' compensation insurance, as legally required and as detailed in Exhibit B, attached hereto.
Term and Termination
This Agreement shall commence on January 1, 2055, and continue in full force and effect for a period of 3 years, unless terminated earlier by either party with 30 days written notice. Either party may terminate this Agreement for cause upon 15 days written notice if the other party fails to cure any breach of this Agreement within the stated notice period.
Indemnification
Both parties agree to indemnify, defend, and hold harmless the other party, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses arising out of or related to any act or omission of the indemnifying party in connection with this Agreement.
Miscellaneous
This Agreement constitutes the entire agreement between the parties concerning the subject matter contained herein and supersedes all prior agreements and understandings, both written and oral. No amendment or modification of this Agreement shall be effective unless made in writing and signed by both parties.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflicts of law principles.
