2. Purpose
This Contract is established for the purpose of outlining the terms and conditions under which the Broker will provide brokerage services to the Client.
3. Services
The Broker agrees to provide the following services:

Service 1: Market research and evaluation of real estate properties for potential investment opportunities.

Service 2: Facilitation of property transactions, including negotiations and legal compliance.

Service 3: Ongoing support for portfolio management and investment analysis.
4. Term
This Contract shall commence on January 1, 2059, and will continue until December 31, 2059, or until terminated by either party in accordance with section 6 of this Contract.
5. Compensation
As consideration for the services provided by the Broker, the Client agrees to pay the following fees:

A base retainer fee of $5,000 per month, payable on the first day of each month.

A commission of 3% of the final sale price for all successfully brokered transactions.

All payments are due via electronic transfer to the Broker’s designated account.
6. Termination
Either party may terminate this Contract with a 30-day written notice to the other party. Upon termination, the Client shall be responsible for payment of all services rendered up to the date of termination.
7. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the term of this Contract. This obligation shall continue beyond the termination of this Contract.
8. Dispute Resolution
In the event of any dispute arising under this Contract, the parties agree to first attempt to resolve the dispute through informal negotiations. If the dispute cannot be resolved informally, the parties agree to binding arbitration under the rules of the American Arbitration Association (AAA) in the State of Alabama.
9. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the State of Alabama.
10. Entire Agreement
This Contract constitutes the entire agreement between the parties and supersedes all previous agreements or understandings, whether oral or written.
