Contractor Service Agreement
1. Purpose
This Contractor Service Agreement ("Agreement") is entered into as of November 20, 2055 by and between Lawrence Orn, with a primary business address at Denver, CO 80202 ("Client"), and MultiCorp, with a primary business address at Minneapolis, MN 55401 ("Contractor"). The purpose of this Agreement is to establish the terms and conditions under which Contractor will provide services to Client.
2. Services
Contractor agrees to provide the following services:

Design and development of a custom mobile application for iOS and Android platforms.

Setup and configuration of user account management systems, including authentication and data encryption.

Ongoing support and maintenance for the application for a period of 12 months, including bug fixes, updates, and feature enhancements.

Conducting user testing and gathering feedback to improve the app’s user interface (UI) and user experience (UX).
These services shall be referred to as the "Services" throughout this Agreement.
2.1 Scope of Work
The Contractor shall perform the Services outlined above in a professional and diligent manner, ensuring completion by the agreed-upon deadlines.
3. Compensation
Client agrees to pay Contractor the total amount of $50,000 for the satisfactory completion of the Services as specified in this Agreement. The payment will be made according to the following schedule:
Initial Deposit: A non-refundable deposit of $10,000 due upon signing of the Agreement.
Milestone Payments:
$20,000 upon completion of the mobile application design and prototype (within 45 days of Agreement date).
$15,000 upon completion of user testing and feedback integration (within 90 days of Agreement date).
Final Payment: The remaining $5,000 upon final delivery and acceptance of the completed application (within 120 days of Agreement date).
Payments will be made via wire transfer to the Contractor’s designated account. Late payments will incur a fee of 1.5% per month on any outstanding balance.
4. Term and Termination
This Agreement will commence on the effective date and will remain in effect until the completion of the Services, unless terminated earlier as permitted in this Agreement.
4.1 Termination for Convenience
Either party may terminate this Agreement for convenience with a [number] days written notice to the other party.
4.2 Termination for Cause
This Agreement may be terminated by either party immediately upon written notice if the other party breaches any material term of this Agreement.
5. Confidentiality
Contractor agrees to maintain the confidentiality of any confidential information disclosed by Client during the term of this Agreement.
6. Independent Contractor
Contractor acknowledges that they are an independent contractor and not an employee of Client. Contractor is solely responsible for paying their own taxes, insurance, and expenses.
7. Liability
Contractor shall indemnify and hold harmless Client from and against any and all liabilities, losses, damages, claims, expenses, and costs arising from or in connection with the performance of the Services.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of law principles.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, or agreements, whether oral or written, relating to the subject matter hereof.
