Truck Parking Agreement
This Truck Parking Agreement (the "Agreement") is made and entered into as of the June 1, 2050 (the "Effective Date") by and between MasterEdge, with its principal place of business located at Corpus Christi, TX 78401 ("Parking Provider"), and Virtooso, with its principal place of business located at Montgomery, AL 36101 ("Truck Owner").
Recitals
WHEREAS, the Parking Provider owns or operates a parking facility located at [Enter Parking Facility Address] (the "Facility"); and
WHEREAS, the Truck Owner desires to park its truck(s) at the Facility; and
WHEREAS, the Parking Provider is willing to provide parking spaces to the Truck Owner under the terms and conditions set forth herein.
Agreement
1. Grant of License
The Parking Provider hereby grants to the Truck Owner a revocable license to park the following vehicle(s) at the Facility: logistic trucks. The license is personal to the Truck Owner and is not transferable.
2. Term
The term of this Agreement shall commence on June 2, 2050 and shall continue until November 3, 2050 unless earlier terminated in accordance with the provisions of this Agreement.
3. Parking Fees
The Truck Owner agrees to pay the Parking Provider a parking fee of $1200 per weekly, payable in advance on the 2nd day of each month. All payments shall be made to bank transfer.
4. Use of Facility
The Truck Owner shall use the Facility solely for the parking of the specified vehicles and shall comply with all rules and regulations imposed by the Parking Provider. The Truck Owner shall not permit any illegal, hazardous, or dangerous activities at the Facility.
5. Maintenance and Repairs
The Parking Provider shall maintain the Facility in a commercially reasonable condition. The Truck Owner shall be responsible for the maintenance and repair of its vehicles.
6. Indemnification
The Truck Owner agrees to indemnify, defend, and hold harmless the Parking Provider from any and all claims, liabilities, losses, damages, costs, and expenses arising from the Truck Owner's use of the Facility.
7. Termination
Either party may terminate this Agreement with 12 days' written notice to the other party. Upon termination, the Truck Owner shall remove its vehicles from the Facility.
8. Notices
All notices under this Agreement shall be in writing and delivered to the parties at their respective addresses stated above, or at such other address as a party may designate by notice pursuant to this section.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
