This Parking Easement Agreement ("Agreement") is made and entered into as of 19th day of May, 2060 by and between QuickSync, with a principal address at Tucson, AZ 85701 ("Grantor"), and SurePlus, with a principal address at Austin, TX 73301("Grantee").
The purpose of this Agreement is to grant an easement to the Grantee for the use of parking spaces owned by the Grantor, subject to the terms and conditions contained herein.
The Grantor hereby grants to the Grantee a non-exclusive easement to use 250 parking spaces located at Tucson, AZ 85701 (the "Easement Area") for vehicular parking. This grant includes the right for the Grantee, its employees, guests, and invitees to park in the specified spaces during the term of this Agreement.
This easement shall commence on May 21, 2060 and shall continue for a period of 10 years, unless terminated earlier pursuant to the terms of this Agreement.
The Grantor shall be responsible for maintaining the Easement Area in good condition and repair. The Grantee shall not make any alterations or improvements to the Easement Area without the prior written consent of the Grantor.
The Grantee agrees to indemnify and hold harmless the Grantor from any and all claims, liabilities, damages, or expenses arising from or in connection with the Grantee's use of the Easement Area. This indemnification shall survive the termination of this Agreement.
This Agreement may be terminated by either party upon the breach of any term or condition of this Agreement by the other party, provided that the breaching party fails to cure such breach within 15 days after receiving written notice from the non-breaching party.
This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
This Agreement may be amended only by a written instrument executed by both parties.
This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
