I. Agreement Overview
This Intercompany Services Agreement ("Agreement") is made and entered into on April 5, 2050, by and between:

IV. Confidentiality Agreement
Both Parties agree to maintain strict confidentiality regarding proprietary and sensitive information obtained through this Agreement. This confidentiality obligation shall extend for five (5) years following the termination of the Agreement.
V. Agreement Duration and Termination
1. Duration
This Agreement will be effective from April 5, 2050, for an initial term of two (2) years.
2. Termination for Convenience
Either Party may terminate this Agreement by providing 30 days written notice to the other Party.
3. Breach and Termination
Should a Party breach any significant term of this Agreement, and fail to remedy such breach within fifteen (15) days of notice, the non-breaching Party reserves the right to terminate the Agreement immediately.
VI. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of California, and any disputes arising hereunder shall be settled through binding arbitration conducted in San Francisco, California, under the rules of the American Arbitration Association.
