I. Introduction
This Cost Plus Intercompany Agreement ("Agreement") is entered into as of December 5, 2050, by and between:

This Agreement shall be governed by and construed in accordance with the laws of California, without regard to its conflict of law principles.

In the event of any dispute or claim arising out of or in connection with this Agreement, the parties agree to first attempt resolution through informal discussions.
