RECITALS

WHEREAS, [Your Company Name], a [restaurant] ("Employer"), desires to engage [Chef's Full Name], an experienced chef ("Chef"), to perform culinary services; and

WHEREAS, the Chef agrees to provide such services to the Employer under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, for and in consideration of the mutual covenants and promises set forth herein, the parties hereto agree as follows:

1. Term of Agreement

This Agreement shall begin on [Month, Day, Year], and shall continue until [Month Day, Year] unless terminated earlier by either party in accordance with the terms set forth in this Agreement.

2. Position and Duties

The Chef agrees to perform the following duties for the Employer:

  • Prepare and cook food according to established recipes and standards.

  • Supervise and manage kitchen staff, including training and delegating responsibilities.

  • Ensure that all kitchen activities adhere to health and safety standards.

  • Maintain cleanliness and organization of kitchen equipment and areas.

  • Manage inventory of food, utensils, and other kitchen supplies.

  • Participate in tasting sessions, food presentations, and promotional events as required.

  • Perform any other duties related to kitchen operations as agreed upon by both parties.

3. Compensation

  • Base Salary: The Chef shall be compensated at a rate of $[0] per year, payable bi-weekly via direct deposit.

  • Overtime: Any hours worked beyond [40] hours per week shall be compensated at the rate of [0] times the base hourly rate of $[0], in accordance with U.S. labor laws.

4. Working Hours and Schedule

  • The Chef agrees to work a total of [40] hours per week.

  • The Chef is expected to be available to work on weekends and evenings during special events, holidays, or high-volume periods as required by the Employer.

  • Any changes to the work schedule must be agreed upon in writing by both parties.

5. Independent Contractor Status

The Chef is engaged as an independent contractor and not as an employee of the Employer. As an independent contractor, the Chef shall:

  • Be responsible for the payment of all federal, state, and local taxes.

  • Provide their own equipment, supplies, and uniforms unless otherwise specified.

  • Not be entitled to any benefits provided by the Employer to its employees.

  • Have the freedom to perform duties in their own manner, subject to the standards set by the Employer.

6. Confidentiality

  • The Chef agrees to keep confidential all proprietary information, recipes, methods, techniques, and business operations of the Employer.

  • This obligation of confidentiality shall continue even after the termination of this Agreement.

7. Non-Compete and Non-Solicitation

  • Non-Compete: The Chef agrees not to engage in any competing business or provide similar culinary services to a competing business within a [0] mile radius of the Employer's business location for a period of [12] months after the termination of this Agreement.

  • Non-Solicitation: During the term of this Agreement and for a period of [12] months after its termination, the Chef shall not solicit or hire any employee or contractor of the Employer.

8. Intellectual Property

Any recipes, menus, culinary techniques, and other work created by the Chef in the course of performing their duties under this Agreement shall be the exclusive property of the Employer.

9. Health and Safety Compliance

The Chef shall comply with all applicable federal, state, and local health and safety regulations, including the U.S. Food and Drug Administration (FDA) food safety standards and Occupational Safety and Health Administration (OSHA) regulations.

10. Termination

This Agreement may be terminated by either party for any of the following reasons:

  • For Cause: Either party may terminate this Agreement immediately upon written notice if the other party breaches any material provision of this Agreement or engages in misconduct, including but not limited to theft, dishonesty, or a material violation of health and safety laws.

  • Without Cause: Either party may terminate this Agreement with [X] days' written notice to the other party.

  • Automatic Termination: This Agreement will automatically terminate if either party becomes bankrupt or insolvent, or if the Employer ceases business operations.

11. Indemnification and Liability

The Chef agrees to indemnify and hold harmless the Employer from any claims, damages, or liabilities arising out of the Chef’s actions, including but not limited to any injuries or accidents caused by the Chef’s negligence, failure to comply with safety regulations, or breach of this Agreement.

12. Dispute Resolution

Any disputes arising out of or related to this Agreement shall be resolved through [mediation] in [City, State]. If the dispute cannot be resolved through mediation, the parties agree to submit to binding arbitration under the rules of the American Arbitration Association.

13. Miscellaneous
