Consulting Contract Agreement


I. Introduction

This Consulting Contract Agreement (“Agreement”) is entered into on this 5th day of March, 2050, by and between:

  • [Your Company Name], a corporation registered under the laws of the State of California, with its principal office located at [Your Company Address], represented by [Your Name], Principal Consultant ("Consultant").

  • SmithBrand, a corporation registered under the laws of the State of California, with its principal office located at San Diego, CA 92101, represented by Davion Barton, CEO ("Client").

The parties hereby agree as follows:


II. Scope of Work

1. Consulting Services

Consultant agrees to provide the following consulting services to Client:

  • Consulting Area: Branding, Marketing Strategy, and Digital Transformation.

  • Objectives:

    • Develop a comprehensive branding strategy for SmithBrand.

    • Guide on digital marketing: social media, content creation, and analytics.

    • Advise on brand positioning and target audience engagement.

    • Offer training to the marketing team for implementing new strategies.

Consultant will perform the services outlined above in a professional and timely manner, ensuring alignment with the goals and expectations of Client.

2. Deliverables

The Consultant shall deliver the following:

  • A detailed branding strategy document.

  • A digital marketing plan including recommended channels, tools, and timeline.

  • Monthly progress reports, performance metrics, and recommendations.

  • Workshops and training sessions for the Client’s marketing team.

All deliverables shall be submitted electronically or physically as agreed by both parties.


III. Term and Termination

1. Term

This Agreement will commence on the 5th day of March, 2050, and will continue until 5th March, 2051, unless terminated earlier as provided herein.

2. Termination for Convenience

Either party may terminate this Agreement with 30 days’ written notice to the other party. In the event of termination, the Consultant shall be compensated for services rendered up to the termination date.

3. Termination for Breach

In the event of a material breach of this Agreement, the non-breaching party may terminate this Agreement with 15 days’ written notice to the breaching party, provided that the breach remains uncured during this period.


IV. Compensation and Payment Terms

1. Fees

Client agrees to compensate Consultant for the services provided as follows:

  • Hourly Rate: $200 per hour.

  • Retainer Fee: A retainer of $10,000 due at the start of the Agreement, which will be applied towards the total fee for services rendered.

2. Payment Schedule

Consultant shall submit an invoice to Client on a monthly basis for services rendered during the preceding month. Payments are due within 15 days of the invoice date.

If payment is not received by the due date, a 5% late fee will be applied to the outstanding balance for each month the payment remains overdue.

3. Expenses

Client agrees to reimburse Consultant for reasonable expenses incurred during the provision of services, including travel, accommodation, and materials, provided that prior approval has been obtained from the Client.


V. Confidentiality

1. Confidential Information

Each party agrees to maintain the confidentiality of all proprietary or confidential information shared during the course of this Agreement. This includes, but is not limited to, business strategies, marketing plans, customer lists, and financial data.

2. Non-Disclosure

Consultant agrees not to disclose or use any confidential information obtained during the term of this Agreement for any purpose other than fulfilling the obligations of this Agreement.

3. Duration of Confidentiality Obligation

The confidentiality obligations set forth in this section shall remain in effect for 2 years following the termination or expiration of this Agreement.


VI. Independent Contractor

Consultant is an independent contractor and not an employee of the Client. Consultant shall have no authority to bind the Client to any contract, agreement, or obligation.


VII. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising under or in connection with this Agreement shall be resolved in the courts located in San Diego, California.


VIII. Indemnification

1. Indemnity by Consultant

Consultant agrees to indemnify and hold harmless the Client, its employees, officers, and directors from any claims, damages, liabilities, and expenses arising out of Consultant’s negligent actions, errors, or omissions in the performance of the services under this Agreement.

2. Indemnity by Client

Client agrees to indemnify and hold harmless the Consultant from any claims, damages, liabilities, and expenses arising out of the Client’s use of the deliverables, provided that such claims are not due to Consultant’s negligence or willful misconduct.


IX. Force Majeure

Neither party shall be held liable for failure or delay in the performance of this Agreement due to events beyond their reasonable control, including but not limited to natural disasters, strikes, wars, or government restrictions.


X. Miscellaneous Provisions

1. Entire Agreement

This Agreement constitutes the entire understanding of the parties with respect to the consulting services and supersedes all prior discussions, agreements, or understandings, whether written or oral.

2. Amendments

Any amendments or modifications to this Agreement must be made in writing and signed by both parties.

3. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
