Photography Contract Agreement


I. Introduction

This Photography Contract Agreement (“Agreement”) is entered into on this 5th day of March, 2050, by and between:

  • [Your Company Name], a corporation registered under the laws of the State of Ohio, with its principal office located at [Your Company Address], represented by [Your Name], Lead Photographer ("Photographer").

  • Delvsource, a corporation registered under the laws of the State of Ohio, with its principal office located at Cleveland, OH 44101, represented by Etha Lehner, Creative Director ("Client").

The parties hereby agree as follows:


II. Scope of Services

1. Photography Services

Photographer agrees to provide the following photography services for Client’s event or project:

  • Event Photography: Coverage of the event, including candid and posed shots, portraits, group photos, and event highlights.

  • Product Photography: High-quality images of products, including still life photography with appropriate lighting and styling.

  • Editing and Retouching: Professional editing and retouching of images to ensure they meet the highest standards of quality.

  • Digital Delivery: A digital gallery of edited images provided to Client within 2 weeks of the event or session.

The following services are also included:

  • Location Setup: Photographer will arrive early to set up necessary equipment.

  • Post-Production Work: All editing, color correction, and cropping of images for a polished finish.

2. Exclusions

The following services are excluded from this Agreement:

  • Travel or accommodation expenses if the location is outside a 50-mile radius from the Photographer’s base location, unless otherwise agreed.

  • Any physical prints of images; these can be provided separately upon Client request.

  • Any additional personnel such as assistants or second shooters unless specifically requested and included in the service fee.


III. Event or Session Details

1. Photography Session/Event Information

  • Event Date(s): 10th May, 2050

  • Event Type: Corporate Conference

  • Event Location: Cleveland Convention Center, Cleveland, OH 44101

  • Session Start Time: 9:00 AM

  • Session End Time: 5:00 PM

  • Expected Number of Guests/Participants: 200

2. Deliverables

  • Number of Final Images: A minimum of 100 high-resolution edited images will be delivered to the Client.

  • Delivery Format: Images will be provided digitally via a secure online gallery and downloadable ZIP files.


IV. Compensation and Payment Terms

1. Fees

Client agrees to pay Photographer the following:

  • Photography Fee: $5,000 for the photography services provided as described in this Agreement.

  • Travel Expenses: If the event location is outside a 50-mile radius, Client will reimburse Photographer for travel, accommodation, and transportation costs.

  • Additional Costs: Any additional costs incurred for extra services or special requests will be billed separately and agreed upon in advance.

2. Payment Schedule

  • Deposit: A non-refundable deposit of $1,500 is required upon signing this Agreement to secure the booking.

  • Balance Payment: The remaining balance of $3,500 is due 7 days before the event date.

If any payments are not made in accordance with the schedule, a 5% late fee will be applied to the outstanding amount.


V. Responsibilities of the Parties

1. Photographer’s Responsibilities

  • Provide professional photography services as outlined in this Agreement.

  • Ensure high-quality, edited images are delivered in a timely manner.

  • Be punctual and coordinate arrangements with the client.

  • Provide a secure online gallery for image delivery within the agreed timeframe.

2. Client’s Responsibilities

  • Ensure the photographer has all necessary access and permissions for the location.

  • Ensure timely payment of the agreed fees according to the payment schedule.

  • Communicate any specific photography preferences or special requests in advance.

  • Bring any necessary models, products, or materials for the shoot if needed.


VI. Copyright and Usage Rights

1. Copyright Ownership

Photographer retains the copyright to all photographs taken during the event or session. Client is granted a non-exclusive, non-transferable license to use the images for personal, commercial, or promotional purposes related to the Client’s business and event.

2. Usage Rights

  • Personal Use: Client may use the images for personal purposes, including posting on social media, promotional materials, and company websites.

  • Commercial Use: Any commercial use, such as using the images for paid advertisements or product packaging, must be approved by Photographer and may be subject to additional fees.

3. Credit and Attribution

Whenever the photographs are used publicly (on websites, in publications, or promotional materials), Client agrees to give proper credit to Photographer with the following attribution:


“Photograph by [Your Name], [Your Company Name].”


VII. Cancellations and Rescheduling

1. Client’s Right to Cancel

  • If Client cancels the photography session or event more than 30 days before the event date, they will forfeit the deposit but will not owe any additional fees.

  • If Client cancels the photography session or event less than 30 days before the event date, Client will be responsible for paying 50% of the total agreed-upon fee in addition to the non-refundable deposit.

2. Rescheduling

If the Client needs to reschedule the event or session, the Photographer will make reasonable efforts to accommodate, subject to availability. A rescheduling fee of $500 will apply if the event is rescheduled less than 30 days prior to the original event date.


VIII. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of this Agreement, including but not limited to the Client’s business operations, event details, or personal information.


IX. Limitation of Liability

Photographer’s liability for any claims arising out of or relating to this Agreement shall be limited to the total amount paid by Client under this Agreement. In no event shall either party be liable for any indirect, consequential, or punitive damages arising out of the photography services.


X. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio. Any disputes arising out of this Agreement will be resolved in the courts located in Cleveland, Ohio.


XI. Miscellaneous Provisions

1. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the photography services provided and supersedes all prior agreements or understandings, whether written or oral.

2. Amendments

Any amendments or modifications to this Agreement must be made in writing and signed by both parties.

3. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
