Catering Contract Agreement


I. Introduction

This Catering Contract Agreement (“Agreement”) is entered into on this 5th day of April, 2050, by and between:

  • [Your Company Name], a corporation registered under the laws of the State of Utah, with its principal office located at [Your Company Address], represented by [Your Name], Event Catering Manager (“Caterer”).

  • BluWave, a corporation registered under the laws of the State of Utah, with its principal office located at Salt Lake City, UT 84101, represented by Jarvis White, Marketing Director (“Client”).

The parties hereby agree as follows:


II. Scope of Services

1. Catering Services

Caterer agrees to provide the following catering services for Client’s event:

  • Menu Planning: Caterer will collaborate with Client to design a customized menu, considering dietary preferences, allergies, and any other special requests.

  • Food and Beverage Preparation: Caterer will prepare all food and beverages in accordance with the agreed-upon menu and portion sizes.

  • Serving Staff: Caterer will provide professional staff for food setup, service, and cleanup during the event.

  • Event Setup: Caterer will arrive at the event venue at least 2 hours before the event begins to set up the necessary food and beverage stations, decor, and equipment.

  • Post-Event Cleanup: Caterer will clean up the event space, removing leftover food, dishes, utensils, and trash.

2. Exclusions

The following services are excluded from this Agreement unless specifically agreed upon in writing:

  • Rentals for additional event equipment such as tables, chairs, linens, and tents.

  • Alcoholic beverages, unless specifically included in the menu.

  • Entertainment services, including DJs, speakers, or performers.

  • Event coordination or planning services to be arranged separately by Client.


III. Event Details

1. Event Information

  • Event Date: 15th April, 2050

  • Event Type: Corporate Seminar Luncheon

  • Event Location: BluWave Conference Hall, Salt Lake City, UT 84101

  • Event Time: 1:00 PM to 4:00 PM

  • Expected Guests: Approximately 120 guests

2. Menu Details

  • Appetizers: Crostini, mini quiches, and veggie crudités with dip.

  • Main Course: Buffet: roasted salmon, grilled chicken, garden salad, couscous.

  • Desserts: Chocolate mousse, fruit tarts, and assorted cookies.

  • Beverages: Water, coffee, tea, and assorted sodas.

Client may request menu changes or substitutions up to 7 days prior to the event date, after which no further changes will be allowed.


IV. Compensation and Payment Terms

1. Fees

Client agrees to pay Caterer the following for catering services:

  • Catering Fee: $6,000, covering food, beverage, staff, event setup, and cleanup.

  • Additional Charges: Any special menu items, increased guest counts, or other modifications will incur additional charges, agreed upon by both parties in writing prior to the event.

2. Payment Schedule

  • Deposit: A non-refundable deposit of $1,500 is due upon signing this Agreement to secure the event date.

  • Balance Payment: The remaining balance of $4,500 is due 7 days before the event date.

A 5% late fee will apply to any payment not received by the due date.


V. Responsibilities of the Parties

1. Caterer’s Responsibilities

  • Provide the catering services as outlined in this Agreement.

  • Arrive at the event venue on time for setup.

  • Provide professional staff to manage the event and serve food.

  • Ensure food and beverages are served at the appropriate temperature and quality.

  • Tidy the venue post-event, clearing food and caterer items.

2. Client’s Responsibilities

  • Provide access to the event venue, including loading, kitchen, and utilities.

  • Ensure the event venue meets all required health and safety standards for catering.

  • Ensure that the event schedule is followed, including meal service times.

  • Make timely payments as per the agreed payment schedule.


VI. Cancellation and Rescheduling

1. Client’s Right to Cancel

  • If Client cancels the catering services more than 30 days prior to the event date, the deposit will be forfeited, but no further payment will be required.

  • If Client cancels the catering services less than 30 days before the event date, Client agrees to pay 50% of the total catering fee in addition to the non-refundable deposit.

2. Rescheduling

Should Client need to reschedule the event, Caterer will make reasonable efforts to accommodate, subject to availability. A rescheduling fee of $800 will apply if the event is rescheduled within 14 days of the original date.


VII. Liability and Insurance

Caterer carries general liability insurance to cover any accidents or damages related to food preparation or service during the event. Client is responsible for ensuring the safety of guests at the event and providing any necessary insurance or security coverage.


VIII. Force Majeure

Neither party shall be held liable for failure to perform any obligations under this Agreement due to events beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemics, or other unforeseen circumstances. In such cases, both parties will work together to find an appropriate resolution, which may include rescheduling or cancellation of services.


IX. Confidentiality

Both parties agree to maintain confidentiality with respect to any proprietary information shared during the course of this Agreement, including but not limited to event details, business practices, and any other sensitive information.


X. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah. Any disputes arising from this Agreement will be resolved in the courts located in Salt Lake City, Utah.


XI. Miscellaneous Provisions

1. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the catering services and supersedes any previous agreements or discussions.

2. Amendments

Any amendments to this Agreement must be made in writing and signed by both parties.

3. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
