Commercial Lease Agreement

This Commercial Lease Agreement (the "Agreement") is made and entered into as of the 1st day of January, 2064, by and between [YOUR COMPANY NAME] ("Lessor"), and ApTerra ("Lessee").

I. Premises

Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor, the commercial property described as follows (the "Premises"):

  • Address: Omaha, NE 68101

  • Square Footage: 5,000 square feet

  • Description: Office and warehouse space suitable for technology and logistics operations.

II. Term

The lease term shall begin on March 1, 2064 and shall end on February 28, 2074, unless terminated earlier in accordance with the provisions of this Agreement.

III. Rent

Lessee agrees to pay Lessor monthly rent in the amount of $8,500.00. The rent is due on the 1st day of each month and shall be paid to [YOUR COMPANY NAME] at the following address: Omaha, NE 68102.

Rent is payable in advance, without demand, deduction, or offset.

IV. Security Deposit

Lessee shall deposit with Lessor the amount of $17,000.00 as security for the performance of Lessee’s obligations under this Agreement. The security deposit shall be refundable, less any deductions for damages or unpaid rent, within 30 days after the termination of the lease.

V. Use of Premises

The Premises shall be used solely for the purpose of technology development, storage, and logistics operations and for no other purpose without the prior written consent of Lessor. Lessee agrees to comply with all applicable laws, regulations, and ordinances.

VI. Maintenance and Repairs

Lessee shall maintain the Premises in good condition and perform all necessary repairs at their own expense, except for those that are the responsibility of the Lessor under applicable law or the terms of this Agreement. Lessor shall be responsible for maintaining the structural integrity of the Premises, including the foundation, roof, and exterior walls.

VII. Utilities and Services

Lessee shall be responsible for the payment of all utilities and services related to the Premises, including but not limited to water, electricity, gas, internet, and telephone, unless otherwise specified in this Agreement.

VIII. Insurance

Lessee shall obtain and maintain insurance coverage for the Premises, including liability insurance, property insurance, and any other necessary insurance policies. Lessor shall be named as an additional insured on all policies.

IX. Assignment and Subletting

Lessee shall not assign this lease or sublet the Premises without the prior written consent of Lessor. Any assignment or subletting without consent shall be void and may result in termination of this Agreement.

X. Default and Remedies

If Lessee fails to pay rent or otherwise breaches any of the terms of this Agreement, Lessor shall have the right to terminate this Agreement and take possession of the Premises. Lessor may also pursue any other remedies available under the law.

XI. Termination

Either party may terminate this Agreement by providing 60 days written notice to the other party. Upon termination, Lessee shall vacate the Premises and return possession to Lessor.

XII. Indemnification

Lessee agrees to indemnify and hold harmless Lessor from any and all claims, damages, or losses arising out of Lessee’s use of the Premises, except to the extent caused by Lessor's negligence or willful misconduct.

XIII. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Nebraska.

XIV. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements, whether written or oral. Any amendments to this Agreement must be in writing and signed by both parties.

XV. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

XVI. Notices

All notices required or permitted under this Agreement shall be given in writing and delivered to the respective addresses of the parties as follows:
