I. Agreement Overview

III. Purchase Price and Payment Terms

2. Deposit

StronkCo shall make an initial deposit of $500,000 ("Deposit") to [Your Company Name], payable within five (5) business days of the execution of this Agreement. The Deposit shall be held in escrow by [Your Company Name]’s escrow agent and credited toward the Purchase Price at closing.

3. Balance Payment

IV. Conditions of Sale

1. Due Diligence Period

StronkCo shall have 60 days from the execution of this Agreement ("Due Diligence Period") to inspect the Property, perform surveys, and conduct any necessary investigations.

2. Title Assurance

[Your Company Name] warrants that it holds clear and marketable title to the Property and shall provide a title commitment issued by a recognized title company within 15 days of executing this Agreement.

3. Environmental Compliance

[Your Company Name] certifies that the Property complies with all applicable environmental regulations. An independent environmental assessment report, if requested by StronkCo, shall be conducted at StronkCo’s expense during the Due Diligence Period.


V. Closing

1. Closing Date

The closing shall occur no later than April 1, 2050, at a mutually agreed location or virtually.

2. Documents to be Delivered at Closing

  • Warranty deed transferring title to StronkCo.

VII. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota. Any disputes arising under this Agreement shall be resolved in the courts of Minnesota, and both parties agree to submit to the jurisdiction of these courts.


VIII. Termination

This Agreement may be terminated:

  1. By mutual written agreement of both parties.

  2. By StronkCo if any material defect is discovered during the Due Diligence Period that is not remedied by [Your Company Name].

  3. By [Your Company Name] if StronkCo fails to make the Deposit or balance payment as outlined in Section III.
