1. Introduction
This Contractor Agreement ("Agreement") is made and entered into as of January 6, 2055 by and between GraceSpace, having its principal place of business at Peoria, AZ 85345 (hereinafter referred to as "Client"), and [Your Company Name], having its principal place of business at [Your Company Address] (hereinafter referred to as "Contractor").
2. Purpose
The purpose of this Agreement is to outline the terms and conditions under which the Contractor agrees to perform certain services for the Client as described in Section 3 of this Agreement.
3. Scope of Work
3.1 Description of Services
The Contractor agrees to provide the following services: Development and implementation of a custom AI-powered customer support platform tailored for the Client’s e-commerce business.
3.2 Deliverables
The Contractor shall deliver to the Client the following deliverables:

AI system design blueprint

Prototype of the platform with basic features for testing

Full deployment and integration into the Client's systems

Training materials for the Client’s staff on using the platform
4. Compensation
In consideration for the services provided, the Client agrees to pay the Contractor the total sum of Twenty-Five Thousand Dollars ($25,000) to be paid in the following manner:

$10,000 upon signing of the Agreement

$10,000 upon delivery of the prototype

$5,000 upon final delivery and system integration
5. Term and Termination
5.1 Term
This Agreement shall commence on January 1, 2050, and shall remain in effect until December 31, 2051, unless terminated earlier in accordance with the terms outlined herein.
5.2 Termination
Either party may terminate this Agreement with or without cause by providing 30 days written notice to the other party.
6. Confidentiality
The Contractor agrees to maintain the confidentiality of any and all proprietary information provided by the Client and shall not disclose such information to any third party without the prior written consent of the Client.
7. Independent Contractor
The Contractor is engaged as an independent contractor. Nothing in this Agreement shall be deemed or construed to create an employer-employee, partnership, or joint venture relationship between the parties.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [State].
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
10. Amendments
This Agreement may be amended only by a written agreement signed by both parties.
