Simple Non-Disclosure Agreement for Freelancers
This Non-Disclosure Agreement ("Agreement") is made effective as of January 1, 2050, by and between [Your Company Name], a company duly registered under the laws of California, with its principal office located at [Your Company Address] ("Disclosing Party"), and Davion Barton, a freelancer residing at San Diego, CA 92101 ("Receiving Party").
This Agreement is designed to ensure the protection of confidential and proprietary information shared between the parties for the purpose of engaging in specific freelance work.
I. Confidential Information
Confidential Information refers to any information that the Disclosing Party shares with the Receiving Party in connection with the freelance work. This may include, but is not limited to:
Business plans, strategies, and financial data
Customer lists and contact information
Designs, templates, or creative materials
Marketing, branding, and advertising strategies
Any other proprietary or confidential information provided during the engagement
Such information must be marked as confidential or treated as confidential by the Receiving Party.
II. Obligations of Confidentiality
1. Non-Disclosure
The Receiving Party agrees to keep all Confidential Information strictly confidential. The information shall not be disclosed to any third party without prior written consent from the Disclosing Party.
2. Use of Confidential Information
The Receiving Party agrees to use the Confidential Information solely for the purpose of completing the freelance work as specified by the Disclosing Party. Under no circumstances may the Receiving Party use the Confidential Information for personal or commercial purposes unrelated to the work.
III. Term of Confidentiality
The obligations of confidentiality set forth in this Agreement shall remain in effect for two (2) years from the date of disclosure of the Confidential Information, or until the information no longer qualifies as confidential.
IV. Return or Destruction of Information
Upon the conclusion of the freelance engagement, or at any time upon the Disclosing Party's request, the Receiving Party agrees to return or destroy all Confidential Information provided, including any copies, files, or documents containing such information.
V. No License or Ownership Rights
Nothing in this Agreement grants the Receiving Party any rights, title, or interest in the Confidential Information. All ownership and rights remain with the Disclosing Party.
VI. Exceptions to Confidentiality
The confidentiality obligations shall not apply to information that:
Was publicly available at the time of disclosure
Was independently developed by the Receiving Party without reference to the Confidential Information
Was disclosed with the consent of the Disclosing Party
Is required to be disclosed by law or court order, provided the Receiving Party informs the Disclosing Party in advance to take protective measures
VII. Governing Law
This Agreement shall be governed by the laws of the State of California and any disputes arising from this Agreement shall be resolved in accordance with the laws of California.
VIII. Miscellaneous Provisions
1. Entire Agreement
This Agreement represents the entire understanding between the parties with respect to its subject matter and supersedes all prior agreements, written or oral, relating to the confidentiality of information.
2. Modifications
Any changes or modifications to this Agreement must be in writing and signed by both parties.
IX. Signatures
This Agreement is executed by the authorized representatives of the parties on the date first written above.
