Corporate Management Agreement
This Operating Agreement ("Agreement") is made and entered into by the parties hereto, with the objective of governing the management and operation of the corporation as specified herein. This Agreement is created to ensure clear responsibilities, structures, and procedures for effective corporate management.
1. Definitions
For the purpose of this Agreement, the following terms shall have the meanings set forth below:
Corporation: Refers to the entity that is subject to this Operating Agreement.
Member: Any individual or entity with ownership interest in the Corporation.
Manager: An individual appointed to manage the operations of the Corporation as per this Agreement.
2. Management
2.1. Management Structure
The management of the Corporation shall be vested in a board of managers ("Board"). The Board shall exercise all corporate powers, including the performance of all lawful acts, to promote the interests of the Corporation.
2.2. Appointment of Managers
Managers shall be appointed by a majority vote of the Members. The tenure, duties, and responsibilities of each Manager shall be defined herein or determined by the Board.
2.3. Board Meetings

Profits and losses shall be allocated among the Members proportionate to their capital interest, unless otherwise agreed in writing by all Members.
4. Amendment and Termination
4.1. Amendment
This Agreement may be amended only with the unanimous written consent of the Members.
4.2. Termination
This Agreement shall terminate upon the occurrence of any event causing dissolution of the Corporation under applicable law or by mutual agreement of the Members.
5. Execution
This Operating Agreement is executed and agreed to by the undersigned Members, who bind themselves to all terms and conditions contained herein.
