Cricket Coaching Agreement

This Cricket Coaching Agreement (the "Agreement") is entered into as of [Month Day, Year] (the "Effective Date"), by and between:

[Your Company Name], a cricket training company, with its principal place of business at [Your Company Address] ("Company") and

[Coach's Full Name], an independent contractor ("Coach").

Together, the Company and Coach may be referred to as the "Parties."

1. Engagement of Coach

The Company hereby engages the Coach to provide cricket coaching services as set forth in this Agreement. The Coach agrees to provide such services on a non-exclusive basis, adhering to the terms and conditions specified in this Agreement.

2. Scope of Services

The Coach shall provide cricket coaching services, which may include but are not limited to:

  • Coaching individual and group cricket sessions for players of varying skill levels.

  • Designing training programs and drills for players.

  • Monitoring player development and progress.

  • Attending training camps, matches, or other events as required by the Company.

  • Providing tactical and technical advice for cricket matches and events.

  • Other services as mutually agreed upon by the Parties.

All services shall be provided in accordance with the highest professional standards and to the satisfaction of the Company.

3. Term

This Agreement shall commence on the Effective Date and will remain in effect for a period of [12 months], unless terminated earlier pursuant to Section 7 of this Agreement. The Agreement may be renewed upon mutual written agreement by both Parties.

4. Compensation

The Company shall pay the Coach as follows:

  • Hourly/Session Rate: [$0 per hour] payable upon the completion of each coaching session.

  • Payment Terms: Payments shall be made bi-weekly via [direct deposit] to the Coach's provided bank account.

The Coach is responsible for any taxes due on the payments received under this Agreement. The Company will not withhold any income taxes or other deductions from the compensation paid to the Coach, and the Coach is not entitled to any benefits provided by the Company to its employees.

5. Independent Contractor Relationship

The Coach is an independent contractor and is not an employee of the Company. The Coach will not be entitled to any employee benefits, including but not limited to workers’ compensation, unemployment insurance, or health insurance. The Coach shall be responsible for all expenses related to providing the services under this Agreement, including travel, equipment, and other costs, unless otherwise agreed upon by the Parties in writing.

The Coach agrees to comply with all applicable laws and regulations and maintain the necessary certifications or licenses required to provide cricket coaching services.

6. Confidentiality and Non-Disclosure

The Coach acknowledges that during the course of the Agreement, they may have access to confidential and proprietary information belonging to the Company, including but not limited to player data, coaching materials, marketing strategies, and business plans ("Confidential Information").

The Coach agrees:

  • Not to disclose any Confidential Information to any third party without the prior written consent of the Company.

  • To use the Confidential Information solely for the purpose of performing services under this Agreement.

  • To take reasonable precautions to protect the confidentiality of such information.

  • This confidentiality obligation shall survive the termination of this Agreement.

7. Termination

Either Party may terminate this Agreement at any time by providing [Number of Days] days’ written notice to the other Party. Additionally, the Company may terminate this Agreement immediately upon written notice to the Coach if the Coach:

  • Breaches any material term of this Agreement.

  • Engages in unethical or unprofessional conduct.

  • Fails to perform the services to the satisfaction of the Company.

  • Becomes incapacitated or is otherwise unable to perform the services for a prolonged period.

In the event of termination, the Coach will be compensated for all services rendered up to the termination date, and the Coach shall promptly return any Company property and Confidential Information.

8. Liability and Indemnification

The Coach agrees to indemnify, defend, and hold harmless the Company and its directors, officers, employees, and agents from and against any and all claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • The Coach's breach of this Agreement.

  • The Coach's negligence or willful misconduct in performing services.

  • Any claims brought by third parties related to the Coach's actions during coaching sessions.

The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of the Coach's performance under this Agreement.

9. Ownership of Materials

All training materials, programs, drills, and other work products created by the Coach during the course of providing coaching services shall be the exclusive property of the Company. The Coach grants the Company the right to use, modify, and distribute such materials for business purposes.

10. Non-Compete and Non-Solicitation

For the duration of this Agreement and for [Duration] after its termination, the Coach agrees not to:

  • Provide coaching services to any competing cricket organizations or companies within a [50-mile] radius of the Company’s business without prior written consent.

  • Solicit or attempt to solicit any employees, clients, or players of the Company for the purpose of diverting them from the Company’s business.

11. Miscellaneous

  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of [State Name], without regard to its conflict of law principles.
