Waiver Settlement Agreement
This Waiver Settlement Agreement (the "Agreement") is entered into as of January 10, 2050, by and between:
1. Party A: [Your Company Name], located at [Your Company Address], referred to as the "First Party,"
2. Party B: Jane Doe, residing at 456 Elm Street, Springfield, IL 62704, referred to as the "Second Party."
RECITALS
WHEREAS, disputes and claims have arisen between the parties concerning a breach of contract regarding the delivery and use of proprietary software;
WHEREAS, the parties wish to resolve the matter amicably without further dispute or litigation;
NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, the parties agree as follows:
1. Settlement Payment
1.1 Party A agrees to pay Party B the sum of $50,000 (the "Settlement Amount") within 30 days of the execution of this Agreement.
1.2 The payment shall be made via bank wire transfer to Party B’s designated account, details of which shall be provided separately.
2. Waiver and Release of Claims
2.1 In exchange for the Settlement Amount, Party B fully releases and forever discharges Party A, its officers, directors, employees, agents, successors, and assigns, from any claims, demands, damages, causes of action, or liabilities, whether known or unknown, arising out of or related to the alleged breach of contract concerning the proprietary software.
2.2 This waiver includes but is not limited to, any claims under California Civil Code Section 1542 or any similar laws in other jurisdictions.
3. Confidentiality
3.1 The parties agree to keep the terms of this Agreement confidential and not to disclose them to any third party, except as required by law or with prior written consent.
4. No Admission of Liability
4.1 This Agreement is not an admission of liability or wrongdoing by either party. Party A expressly denies all allegations made by Party B.
5. Governing Law
5.1 This Agreement shall be governed by and construed by the laws of the State of California. Any disputes shall be resolved exclusively in the courts located in Santa Clara County, California.
6. Entire Agreement
6.1 This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior agreements, understandings, or communications, whether written or oral.
7. Severability
7.1 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
8. Execution
8.1 This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute the same instrument.
8.2 The parties agree to execute this Agreement electronically, and such electronic signatures shall have the same force and effect as original signatures.
