NON-PROFIT ARTICLES OF INCORPORATION

Preamble

The following Articles of Incorporation shall be subject to and governed by the incorporation laws of the State of California.

Organization

This Non-Profit and Non-Stock Corporation shall exist and operate under the name [Saving Souls Inc.] and shall be referred to as the “Non-Profit Organization.” It shall have its headquarters and principal office at [122 Clifford Street, Berkeley, California 94704].

Purpose

This Non-Profit Organization shall exist and operate solely for charitable
and non-profit purposes.

Incorporators

This Non-Profit Organization was formed on [January 23, 2023];
by [Manuel Jalisco] and [George White], hereinafter shall be referred to as the “Incorporators”.
The Incorporators hereby outline the following Articles of Incorporation, as follows.

Articles of Incorporation

ASSETS.

This Non-Profit Organization shall appropriate its property, holdings, and assets for non-profit and charitable purposes only.

BOARD OF DIRECTORS. 

This Non-Profit Organization shall be governed by a Board of Directors, which shall consist of the Incorporators and members. The Directors shall have the rights, privileges, powers, and limited liability as permitted by law.

OFFICERS.

This Non-Profit Organization shall appoint and elect Officers for corporate and operational functions. The Officers shall be drawn exclusively from the members of the board and the organization.

MEMBERSHIP.

This Non-Profit Organization shall admit new members only upon approval of the majority 
of the board.

CORPORATE INSTRUMENTS. 

The Board of Directors of the Corporation shall have the power to execute corporate instruments.

RECORDS KEEPING. 

The Corporation shall keep and maintain organization and financial records.

FISCAL YEAR. 

The Fiscal Year for this Corporation shall end on December 1 of the year.
