VIDEO PRODUCTION RETAINER AGREEMENT

PARTIES

This VIDEO PRODUCTION RETAINER AGREEMENT (“Agreement”), dated September 1, 2030, is made and entered into by and between LVP Studios with a principal address of 17th Floor Blaze Building, Charles Town, West Virginia (“Provider”) and Mary Colt with a principal address of 2738 Derby Street, Charles Town, West Virginia (“Customer”).

Each of the parties shall be referred to individually as a (“Party”) and collectively as the (“Parties”) in this Agreement.

IN CONSIDERATION OF the mutual promises and covenants in this Agreement, the Parties further agree to the terms as follows:

SERVICES

The Parties hereby agree to retain the services of Provider to perform video production services which will consist of the production team such as production crews, editing team, writers, and actors involved in creating the video project (“Services”). The Provider hereby agrees to deliver the Services in a timely, and professional manner.

AMOUNT

The Customer hereby agrees to pay the total amount of sixty thousand dollars ($60,000.00) for the Services rendered by the Provider. The Customer shall pay through bank cheques monthly beginning on September 1, 2030, until February 1, 2031.

TERM AND TERMINATION

This Agreement shall be effective starting September 1, 2030, and shall remain in effect until its termination date on February 1, 2031 (“Term”). However, the Agreement may be terminated earlier by either of the Parties provided that the Services are completed.

WARRANTIES

The Provider hereby represents and warrants that they are duly qualified to perform and complete the Services upon the agreed date of termination in this Agreement.

GENERAL PROVISIONS

• Any notices required or permitted under this Agreement shall be in writing and delivered to both of the Parties’ mailing addresses: 17th Floor Blaze Building, Charles Town, West Virginia, and 2738 Derby Street, Charles Town, West Virginia.
• The Parties hereby indemnify and hold harmless the other Party and its successors from and against any and all damages, liabilities, and claims that may occur in relation to this Agreement.
• This Agreement shall be binding upon and inure to the benefit of the Parties and their executors.

ACCEPTANCE

IN WITNESS WHEREOF, each of the Parties has executed this Agreement as of the day and year set forth above.
