This Commercial Cleaning Services Contract ("Contract") is made this [Effective Date], by and between [Your Company Name] [Your Company Address], a corporation with its head office located at [Your Company Address] ("Client") and [Cleaning Company Name], a professional cleaning company with its principal office located at [Cleaning Company Address] ("Service Provider").

1. SERVICES

The Service Provider agreed to provide comprehensive cleaning, disinfection, and maintenance services specifically for the Client's office spaces as detailed in Exhibit A, which is part of the agreement.


Exhibit A: Service Description and Requirements

  1. Scope of Work:

  • The scope of work outlined in Exhibit A is subject to modification upon mutual agreement between the Service Provider and the Client.

  • Any additional services requested by the Client beyond the scope of this agreement shall be subject to negotiation and may incur additional charges.

  1. Cleaning Services:

The Service Provider shall perform thorough and professional cleaning services for the office spaces of the Client.

General cleaning tasks shall include but are not limited to:

  • Dusting of surfaces

  • Vacuuming and mopping floors

  • Cleaning of windows and glass surfaces

  • Emptying trash bins

  • Routine disinfection services shall be conducted to ensure a sanitized environment.

  • Frequency and timing of cleaning services shall be as agreed upon between the Service Provider and the Client.

  1. Maintenance Services:

In addition to cleaning, the Service Provider shall perform regular maintenance tasks to upkeep the office spaces.

Maintenance tasks may include:

  • Checking and replacing light bulbs

  • Repairing minor damages to fixtures and furniture

  • Reporting any significant maintenance issues to the Client for further action.

  1. Quality Assurance:

  • The Service Provider shall ensure that all services are performed to a high standard of quality and under industry best practices.

  • The Client reserves the right to inspect the quality of work performed and request rectification of any deficiencies.


2. TERM AND TERMINATION

  • This Contract shall commence and continue until [End Date] subject to earlier termination as provided in this agreement.

  • Either party may terminate this agreement with prior written notice to the other party.

  • In the event of termination, the Service Provider shall complete any outstanding services and return any Client property in their possession.

3. PAYMENT

The service provider and the client have mutually agreed to the following terms and conditions. The client will be required to make a payment for the amount that has been specifically mentioned and agreed upon, and this payment must be made on the precise payment date. This payment is in exchange for the services that the service provider is going to offer to the client.

4. INDEPENDENT CONTRACTOR

Under the terms and conditions stipulated in this Contract, the Service Provider resides in the capacity of an independent contractor. The specifications herein do not, in any form or manner, establish or imply an employer-employee relationship between the Client who avails of the service and the Service Provider who provides the same. This clarification is to assert that the relation between these two entities is solely that of a client and a service provider and not employer and employee.

5. INSURANCE AND INDEMNIFICATION

The Service Provider will maintain, at its own cost, liability and workers' compensation insurance. The Service Provider shall indemnify and hold the Client harmless from any damages, liabilities, costs, and expenses arising out of the Services rendered under this Contract.

6. CONFIDENTIALITY

The Service Provider acknowledges that as part of their responsibilities, they will have access to information that is confidential. It is understood, agreed upon, and accepted by the Service Provider that they will safeguard this information and not disclose it to any unauthorized individuals or entities, thereby maintaining its confidentiality.

7. FORCE MAJEURE

Neither party will be liable for any failure or delay in its performance under this Contract due to any cause beyond its reasonable control, including acts of war, acts of God, earthquakes, floods, embargo, riots, sabotage, labor shortage or dispute, governmental act, or failure of the internet.

8. GOVERNING LAW

This Contract will be under the governance and interpretation according to the laws of the selected jurisdiction, denoted as [Jurisdiction].
