Freelance Graphic Design Contract

This Agreement is made and entered into this September 15, 2050, by and between Top Creatives, a corporation with its principal place of business at 123 Business Lane, New York, NY 10001 (the "Client"), and [YOUR NAME], a freelance graphic designer, with its principal place of business at 456 Creative Street, Los Angeles, CA 90001 (the "Designer").


Scope of Work

The Designer agrees to create a logo and promotional materials for the Client's upcoming product launch as requested by the Client. More specific details of the project such as design brand elements, preferred colors, preferred fonts, and use of the logo, among others, shall be provided by the Client in a comprehensive design brief.

Payment Terms

The Client agrees to pay a total fee of $5,000 for the agreed-upon work. Payment shall be delivered as follows:

  • An initial deposit of $2,500 before work begins

  • The remaining balance of $2,500 is payable on December 1, 2050

Method of Payment: Bank transfer

Timeline

The Designer shall complete the project within 8 weeks from the date of the initial deposit. Any delays caused by the Client shall result in an extension of the project timeline, with mutual agreement from both parties.

Copyright

  • Upon receipt of full payment, copyright ownership of the final designs will be transferred to the Client. Until final payment, all designs remain the intellectual property of the Designer.

  • The Client shall own all rights, title, and interest in the final deliverables, excluding any elements provided by the Designer that are subject to third-party rights. The Designer retains the right to use the project in their portfolio and for self-promotion purposes.

Deliverables

The Designer will provide the Client with the agreed-upon deliverables outlined in the project description by the agreed-upon deadline of November 15, 2050.

Changes and Revisions

The scope of this contract includes 2 revisions. Any changes outside of the scope or additional revisions will require a new agreement, with a separate fee.

Termination

Either party may terminate this agreement by providing written notice to the other party in the event of a material breach of the terms outlined herein. Upon termination, the Client shall compensate the Designer for the work completed up to the termination date based on the agreed-upon payment terms.

Confidentiality

Both the Client and the Designer agree to keep all materials and communications related to this contract confidential. Neither party may disclose these materials to anyone outside of the contract unless required by law or with the consent of the other party.

By signing below, both parties acknowledge they have read, understand, and will comply with the terms and conditions set out in this Agreement.

Exhibit A: Scope of Work

The Designer will create:

  • A primary logo in vector format

  • Two variations of promotional materials, including social media graphics and a flyer

  • Final deliverables are to be provided in both digital and print-ready formats.
