Social Media Marketing Guest Blogger Non-Disclosure Agreement (NDA)
1. Parties
This Non-Disclosure Agreement ("NDA") is entered into on November 8, 2050, by and between:

2. Definition of Confidential Information
2.1 Confidential Information
For the purposes of this NDA, "Confidential Information" refers to any and all information, data, documents, or materials disclosed by the Disclosing Party to the Receiving Party, directly or indirectly, in connection with the social media marketing campaign. This includes, but is not limited to:

Content, designs, and promotional materials for the campaign

Schedules, timelines, and analytics data

Any other proprietary or sensitive information relevant to the campaign
2.2 Exclusions
The obligations of confidentiality outlined in this NDA do not apply to information that:

Was already known to the Receiving Party before being disclosed by the Disclosing Party.

Becomes publicly available through no fault of the Receiving Party.

Is independently developed or obtained by the Receiving Party without using Confidential Information.
3. Obligations of the Receiving Party
3.1 Non-Disclosure
The Receiving Party agrees to maintain the confidentiality of all Confidential Information received from the Disclosing Party. The Receiving Party shall not disclose, directly or indirectly, or use the Confidential Information for any purpose other than the performance of the social media marketing campaign.
3.2 Limited Use
The Receiving Party shall only share Confidential Information with its employees or contractors who have a legitimate need to know and who are bound by similar confidentiality obligations. The Receiving Party shall ensure that such individuals are made aware of the confidential nature of the information.
4. Duration of Confidentiality
The obligations of confidentiality set forth in this NDA shall commence on November 8, 2050, and shall continue for a period of two (2) years, unless otherwise terminated by the Parties in writing.
5. Return or Destruction of Information
Upon the written request of the Disclosing Party or upon the expiration or termination of this NDA, the Receiving Party shall promptly return all Confidential Information, including any copies or derivatives thereof, to the Disclosing Party or certify its destruction in writing.
6. Non-Solicitation
The Receiving Party agrees not to directly or indirectly solicit or attempt to hire any employees, contractors, or agents of the Disclosing Party who are involved in the social media marketing campaign during the term of this NDA and for a period of one (1) year after its termination.
7. Remedies for Breach
In the event of any breach or threatened breach of this NDA, the Parties agree that the Disclosing Party may seek equitable relief, including injunctive relief, as well as any other remedies available at law or in equity.
8. Governing Law and Jurisdiction
This NDA shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
9. Miscellaneous Provisions
9.1 Entire Agreement
This NDA constitutes the entire agreement between the Parties regarding the subject matter herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties.
9.2 Amendment
Any amendment to this NDA must be in writing and signed by both Parties.
9.3 Waiver
The failure of either Party to enforce any provision of this NDA shall not be construed as a waiver of such provision or the right to enforce it.
