This Sales Service Level Agreement (SLA) is entered into and becomes effective on [Month Day, Year], between the following parties: [Your Company Name], a corporation duly organized and existing under the laws of [Jurisdiction], having its principal place of business at [Your Company's Address], hereinafter referred to as the "Customer," and [Your Partner Company Name], a data services provider duly organized and existing under the laws of [Jurisdiction], having its principal place of business at [Your Partner Company Address], hereinafter referred to as the "Provider."
1. Service Description
The Provider agrees to supply the Customer with specific data products and services as described in the Statement of Work (SOW) or Purchase Order (PO) attached to this SLA. The data and services encompass a wide range of valuable insights and analytics, including, but not limited to:
1.1. Market Intelligence: Provider will provide comprehensive market intelligence reports, including market trends, competitive analysis, and consumer behavior data tailored to the Customer's industry.
1.2. Customer Segmentation: Provider will deliver detailed customer segmentation data, allowing the Customer. to better understand their target audience and tailor their marketing strategies effectively.
1.3. Geospatial Data: Provider offers geospatial data that can be used for location-based marketing, site selection, and supply chain optimization.
1.4. Economic Indicators: Regular updates on economic indicators and financial data, enabling the Customer to make informed investment decisions and macroeconomic assessments.
1.5. Social Media Analytics: Real-time analysis of social media trends, sentiment analysis, and engagement metrics for marketing campaign evaluation.
1.6. Custom Data Requests: The ability to request specific datasets based on unique business needs, subject to agreement and pricing as defined in the SOW or PO.
2. Term
This Service Level Agreement becomes effective as of the date specified herein and shall continue in force until either party opts for termination. Termination requires written notice to be provided by the terminating party to the other.
3. Pricing and Payment Terms
3.1. Pricing Structure: The financial terms for the data and services provided under this agreement shall be mutually determined by the parties and documented within the Statement of Work (SOW) or Purchase Order (PO).
3.2. Payment Terms: The conditions regarding payment, including due dates, shall be detailed in the SOW or PO. Generally, payment is expected within ten (10) days following the receipt of an invoice from the Provider, unless otherwise stipulated.
4. Data Delivery
4.1. Data Format: The Provider is responsible for supplying data to the Customer in the format outlined in the SOW or PO, ensuring compatibility with the Customer's systems and processes.
4.2. Delivery Frequency: The schedule for data delivery will adhere to the frequency established in the SOW or PO, accommodating the Customer's operational requirements.
4.3. Data Integrity: The Provider assures the accuracy and timeliness of the data supplied and commits to correcting any discrepancies expeditiously upon discovery or notification by the Customer.
5. Termination
This SLA may be terminated by either party should there be a breach of terms as specified in the SOW or PO, or if either party consistently fails to meet their contractual obligations. Written notice must be provided for termination to take effect.
6. Confidentiality
The parties commit to maintaining the confidentiality of all proprietary information associated with this agreement, including but not limited to data specifics and pricing. Disclosure of such information to third parties is strictly prohibited.
7. Governing Law
The terms of this SLA are subject to the laws of [Jurisdiction]. Any disputes arising from or related to this agreement shall be resolved in [Jurisdiction], either through arbitration or judicial proceedings, as outlined in the SOW or PO.
8. Entire Agreement
This document, together with any attached SOW or PO, embodies the full and entire understanding between the parties, nullifying all prior agreements or discussions. Amendments to this SLA must be documented in writing and endorsed by authorized representatives of both parties.
