This Trade Show Booth Services Agreement (the "Agreement") is entered into on [Month Day, Year] (the "Effective Date"), by and between:

Collectively, the Exhibitor and the Service Provider may be referred to as the "Parties."

WHEREAS, the Exhibitor plans to participate in a trade show or networking event (the "Event"), which is scheduled to take place at [Your Company Address] on [Month Day, Year].

WHEREAS, the Exhibitor requires booth design, setup, and other services necessary to participate in the Event.

NOW, THEREFORE, for and in consideration of the covenants contained herein, the Parties agree as follows:

1. Scope of Services

1.1. The Service Provider shall provide the following services to the Exhibitor:

  • Booth design and construction in accordance with the Exhibitor's specifications.

  • Booth setup and dismantling services.

  • Any additional services as specified in Exhibit A (attached).

1.2. The Exhibitor shall provide all necessary information, materials, and approvals required to provide the services.

2. Payment Terms

2.1. The Exhibitor shall pay the Service Provider the total [$10,000] for the services as outlined in Section 1. Payment shall be made as follows:

  • A non-refundable deposit of [$3,000] is due upon signing this Agreement.

  • The remaining balance of [$7,000] is due on or before [Month Day, Year].

2.2. The Exhibitor shall be responsible for any additional costs incurred due to changes requested after the signing of this Agreement.

2.3. If payment is not delivered by the due date, the Client will pay the Company a late fee of 1.5% of the overdue amount per month, compounded monthly.

3. Booth Specifications

3.1. Booth Dimensions: The booth provided by the Service Provider will have the following dimensions:

  • Width: [10] feet

  • Depth: [10] feet

  • Height: [8] feet

3.2. Booth Layout: The booth layout will include the following features:

  • One main display counter with a storage area beneath.

  • One information kiosk with a touchscreen display.

  • Two shelving units for product displays.

  • One table with four chairs for meeting space.

  • Custom-branded signage above the booth with the Exhibitor's logo.

3.3. Electricity and Lighting: The booth will be equipped with the following electrical and lighting provisions:

  • Two electrical outlets for equipment and displays.

  • Overhead lighting to illuminate the booth area.

3.4. Flooring: The booth will be installed with high-quality carpet flooring in a color to be determined by the Exhibitor.

3.5. Graphics and Branding: The Service Provider will install graphic panels and branding materials in accordance with the Exhibitor's design specifications. The Service Provider will coordinate with the Exhibitor to ensure that the booth's graphics and branding are consistent with the Exhibitor's marketing materials.

3.6. Furniture and Accessories: The Service Provider will provide the following furniture and accessories for the booth:

  • One reception desk with the Exhibitor's branding

  • One information counter with storage

  • Four chairs

  • Two product display shelves

  • One waste bin

  • Custom-branded banners and signage as required

3.7. Internet and Connectivity: The booth will be equipped with access to a reliable internet connection for interactive displays and demonstrations.

3.8. Audio-Visual Equipment: If needed, the Exhibitor may request audio-visual equipment (e.g., TV screens, projectors, etc.) for an additional cost, as outlined in Exhibit A.

3.9. Booth Placement: The Service Provider will coordinate with the event organizers to secure booth placement, which will be communicated to the Exhibitor before the Event.

3.10. Additional Requirements: Any additional features or requirements not listed above should be communicated by the Exhibitor to the Service Provider in writing, and any associated costs will be agreed upon separately.

4. Term

This Agreement shall commence on the Effective Date and continue until the services are completed, including booth dismantling.

5. Cancellation

In the event of cancellation by the Exhibitor, the non-refundable deposit shall be forfeited.

6. Insurance

The Service Provider shall maintain adequate insurance coverage for the services provided during the Event.

7. Confidentiality

The Parties agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the course of this Agreement.

8. Limitations of Liability

The Service Provider's liability under this Agreement shall be limited to the total amount paid by the Exhibitor for the services.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Company Address].

10. Entire Agreement

This Agreement constitutes the entire understanding of the Parties and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties.
