INTERIOR DESIGNER CONTRACT

DESIGN SERVICES AGREEMENT

This Agreement is made and entered into this [DAY] day of [MONTH], [YEAR], by and between:

CLIENT: [Client Name], a [Entity Type] organized and existing under the laws of [State/Country], with its principal place of business at [Client Address] (hereinafter referred to as the "Client").

AND

DESIGNER: [Designer Name], a [Entity Type] organized and existing under the laws of [State/Country], with its principal place of business at [Designer Address] (hereinafter referred to as the "Designer").

BACKGROUND:

The Client desires to engage the Designer to provide design services, and the Designer is willing to provide such services on the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. SCOPE OF SERVICES

1.1 Description of Services: The Designer agrees to provide design services ("Services") to the Client as outlined in Exhibit A attached hereto. The Services may include but are not limited to:

• Graphic design

• Website design

• Branding and identity design

• Other design-related tasks as mutually agreed upon by the parties.

1.2 Client Cooperation: The Client agrees to cooperate with the Designer and provide all necessary information, materials, and approvals promptly to facilitate the provision of the Services.

2. COMPENSATION

2.1 Payment Terms: In consideration of the Services provided by the Designer, the Client agrees to pay the Designer the fees as outlined in Exhibit A.

2.2 Currency and Due Dates: Payment shall be made in [currency] and shall be due within [number] days of receipt of an invoice from the Designer.

3. OWNERSHIP AND INTELLECTUAL PROPERTY

3.1 Client's Rights: The Client acknowledges and agrees that all original design work created by the Designer during the provision of the Services shall be the exclusive property of the Client upon full payment of the fees.

3.2 Designer's Rights: The Designer retains the right to display the completed work in their portfolio and marketing materials, with the Client's permission.

4. TERM AND TERMINATION

4.1 Commencement and Duration: This Agreement shall commence on the Effective Date and shall continue until the completion of the Services unless terminated earlier as provided herein.

4.2 Termination Clause: Either party may terminate this Agreement upon written notice to the other party in the event of a material breach of the terms herein, subject to a cure period of [number] days.

5. CONFIDENTIALITY

5.1 Confidentiality Agreement: Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement.
